Regulations</LongTitle><RegulationMakerOrder><RegulationMaker>P.C.</RegulationMaker><OrderNumber>1998-2043 </OrderNumber><Date><YYYY> 1998</YYYY><MM>11</MM><DD>19</DD></Date></RegulationMakerOrder></Identification><Order lims:inforce-start-date="2006-03-22" lims:fid="1025237" lims:id="1025237"><Provision lims:inforce-start-date="2006-03-22" lims:fid="1025238" lims:id="1025238" format-ref="indent-0-0" language-align="yes" list-item="no"><Text>Whereas, pursuant to subsection 26(1) of the <XRefExternal reference-type="act">St. Lawrence Seaway Authority Act</XRefExternal>, The Seaway International Bridge Corporation, Ltd. was incorporated as a subsidiary of The St. Lawrence Seaway Authority for the purpose of undertaking or carrying out any acts or things that the Authority was authorized to undertake or carry out under that Act;</Text></Provision><Provision lims:inforce-start-date="2006-03-22" lims:fid="1025239" lims:id="1025239" format-ref="indent-0-0" language-align="yes" list-item="no"><Text>Whereas subsection 26(3) of that Act extends the application of certain provisions of the Act to a corporation incorporated pursuant to section 26 of the Act as though the corporation were The St. Lawrence Seaway Authority;</Text></Provision><Provision lims:inforce-start-date="2006-03-22" lims:fid="1025240" lims:id="1025240" format-ref="indent-0-0" language-align="yes" list-item="no"><Text>Whereas, on the repeal of the <XRefExternal reference-type="act">St. Lawrence Seaway Authority Act</XRefExternal>, these provisions cease to apply in respect of The Seaway International Bridge Corporation, Ltd.;</Text></Provision><Provision lims:inforce-start-date="2006-03-22" lims:fid="1025241" lims:id="1025241" format-ref="indent-0-0" language-align="yes" list-item="no"><Text>Whereas, pursuant to section 142 of the <XRefExternal reference-type="act" link="C-6.7">Canada Marine Act</XRefExternal><FootnoteRef idref="fna_e">a</FootnoteRef>, the Governor in Council may, by regulation, provide that any provision of the <XRefExternal reference-type="act">St. Lawrence Seaway Authority Act</XRefExternal> applies to The Seaway International Bridge Corporation, Ltd.;</Text><Footnote id="fna_e" placement="page" status="official"><Label>a</Label><Text>S.C. 1998, c. 10</Text></Footnote></Provision><Provision lims:inforce-start-date="2006-03-22" lims:fid="1025242" lims:id="1025242" format-ref="indent-0-0" language-align="yes" list-item="no"><Text>And whereas the Governor in Council considers it appropriate that certain provisions of the Act apply in respect of The Seaway International Bridge Corporation, Ltd.;</Text></Provision><Provision lims:inforce-start-date="2006-03-22" lims:fid="1025243" lims:id="1025243" format-ref="indent-0-0" language-align="yes" list-item="no"><Text>Therefore, His Excellency the Governor General in Council, on the recommendation of the Minister of Transport, pursuant to section 142 of the <XRefExternal reference-type="act" link="C-6.7">Canada Marine Act</XRefExternal><FootnoteRef idref="fna_e">a</FootnoteRef>, hereby makes the annexed <XRefExternal reference-type="regulation" link="SOR-98-569">The Seaway International Bridge Corporation, Ltd. Regulations</XRefExternal>.</Text></Provision></Order><Body lims:inforce-start-date="2006-03-22" lims:fid="1025244" lims:id="1025244"><Heading lims:inforce-start-date="2006-03-22" lims:fid="1025245" lims:id="1025245" level="1"><TitleText>General</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="1025246" lims:id="1025246"><Label>1</Label><Text>Subsection 3(2) and sections 4, 9, 16, 17, 22, 24 and 25 of the <XRefExternal reference-type="act">St. Lawrence Seaway Authority Act</XRefExternal>, as that Act read on November 30, 1998, apply, in a modified form, to The Seaway International Bridge Corporation, Ltd. The modified provisions are set out in the schedule.</Text></Section><Heading lims:inforce-start-date="2006-03-22" lims:fid="1025247" lims:id="1025247" level="1"><TitleText>Coming into Force</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="1025248" lims:id="1025248"><Label>2</Label><Text>These Regulations come into force on December 1, 1998.</Text></Section></Body><Schedule lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="1025249" lims:id="1025249" bilingual="no" spanlanguages="no"><ScheduleFormHeading lims:inforce-start-date="2006-03-22" lims:fid="1025250" lims:id="1025250"><Label>SCHEDULE</Label><OriginatingRef>(Section 1)</OriginatingRef><TitleText>Modified Provisions</TitleText></ScheduleFormHeading><RegulationPiece lims:inforce-start-date="2006-03-22" lims:fid="1025251" lims:id="1025251"><Heading lims:inforce-start-date="2006-03-22" lims:fid="1025252" lims:id="1025252" level="2"><TitleText>Interpretation</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="1025253" lims:id="1025253"><Label>1</Label><Subsection lims:inforce-start-date="2006-03-22" lims:fid="1025254" lims:id="1025254"><Label>(1)</Label><Text>In this schedule, <DefinedTermEn>Corporation</DefinedTermEn> means The Seaway International Bridge Corporation, Ltd.</Text></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="1025255" lims:id="1025255"><Label>(2)</Label><Text>Each section or subsection of this schedule is followed by the section or subsection number, in parentheses, of the corresponding provision of the <XRefExternal reference-type="act">St. Lawrence Seaway Authority Act</XRefExternal> (referred to in this schedule as “SLSAA”).</Text></Subsection></Section><Heading lims:inforce-start-date="2006-03-22" lims:fid="1025256" lims:id="1025256" level="2"><TitleText>Agent of Her Majesty</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="1025257" lims:id="1025257"><Label>2</Label><Text>Except as provided in section 4, the Corporation is for all purposes an agent of Her Majesty in right of Canada. (Subsection 3(2), SLSAA)</Text></Section><Heading lims:inforce-start-date="2006-03-22" lims:fid="1025258" lims:id="1025258" level="2"><TitleText>Legal Proceedings</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="1025259" lims:id="1025259"><Label>3</Label><Text>Actions, suits or other legal proceedings in respect of any right or obligation acquired or incurred by the Corporation on behalf of Her Majesty, whether in its name or in the name of Her Majesty, may be brought or taken by or against the Corporation in the name of the Corporation in any court that would have jurisdiction if the Corporation were not an agent of Her Majesty. (Section 4, SLSAA)</Text></Section><Heading lims:inforce-start-date="2006-03-22" lims:fid="1025260" lims:id="1025260" level="2"><TitleText>Officers and Employees</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="1025261" lims:id="1025261"><Label>4</Label><Text>The Corporation may employ such officers and employees for such purposes and on such terms and conditions as may be determined by it, and the officers and employees so employed are not officers or servants of Her Majesty. (Section 9, SLSAA)</Text></Section><Heading lims:inforce-start-date="2006-03-22" lims:fid="1025262" lims:id="1025262" level="2"><TitleText>Fees</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="1025263" lims:id="1025263"><Label>5</Label><Subsection lims:inforce-start-date="2006-03-22" lims:fid="1025264" lims:id="1025264"><Label>(1)</Label><Text>The Corporation may, subject to section 6, fix fees to be charged by it with respect to</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="1025265" lims:id="1025265"><Label>(a)</Label><Text>the use of any building, plant, property or facilities under its administration;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="1025266" lims:id="1025266"><Label>(b)</Label><Text>any service performed by it; and</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="1025267" lims:id="1025267"><Label>(c)</Label><Text>pedestrians or vehicles entering, passing over or leaving a bridge or highway under its administration and passengers or goods carried in those vehicles. (Subsection 16(1), SLSAA)</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="1025268" lims:id="1025268"><Label>(2)</Label><Text>The fees that may be charged may be for the use of any particular part of the bridges or other works administered by the Corporation, for the use of those bridges or works as a whole or for any particular service rendered by the Corporation. (Subsection 16(2), SLSAA)</Text></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="1025269" lims:id="1025269"><Label>(3)</Label><Text>A fee fixed or any amendment to it shall be filed with the Canadian Transportation Agency and becomes operative from the day of filing. (Subsection 16(3), SLSAA)</Text></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="1025270" lims:id="1025270"><Label>(4)</Label><Text>Any person interested may at any time file a complaint with the Canadian Transportation Agency that there is unjust discrimination in an existing fee and the Agency shall then consider the complaint and make a finding, which it shall report to the Corporation. (Subsection 16(4), SLSAA)</Text></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="1025271" lims:id="1025271"><Label>(5)</Label><Text>Section 40 of the <XRefExternal reference-type="act" link="C-10.4">Canada Transportation Act</XRefExternal> applies, with such modifications as the circumstances require, in respect of every report of the Canadian Transportation Agency under subsection (4) as if the report were a decision made under that Act. (Subsection 16(5), SLSAA)</Text></Subsection></Section><Heading lims:inforce-start-date="2006-03-22" lims:fid="1025272" lims:id="1025272" level="2"><TitleText>Fees to be Fair and Reasonable</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="1025273" lims:id="1025273"><Label>6</Label><Text>The fees that may be charged by the Corporation shall be fair and reasonable and designed to provide a revenue sufficient to defray the cost to it of its operations in carrying out the purposes for which it is incorporated, which costs shall include</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="1025274" lims:id="1025274"><Label>(a)</Label><Text>payments in respect of the interest on amounts borrowed by it to carry out those purposes;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="1025275" lims:id="1025275"><Label>(b)</Label><Text>amounts sufficient to amortize the principal of those amounts over a period not exceeding 50 years; and</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="1025276" lims:id="1025276"><Label>(c)</Label><Text>the cost of operating and maintaining the bridges and other works under its administration, including all its operating costs and such reserves as may be approved by the Minister. (Section 17, SLSAA)</Text></Paragraph></Section><Heading lims:inforce-start-date="2006-03-22" lims:fid="1025277" lims:id="1025277" level="2"><TitleText>Retirement of Former Employees in Public Service</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="1025278" lims:id="1025278"><Label>7</Label><Subsection lims:inforce-start-date="2006-03-22" lims:fid="1025279" lims:id="1025279"><Label>(1)</Label><Text>If a person employed by the Corporation was a contributor under the <XRefExternal reference-type="act" link="P-36">Public Service Superannuation Act</XRefExternal> immediately prior to that employment, and that employment was entered into with the consent of the Minister of the department or branch of the Public Service in which the person was employed, the provisions that apply to that person on retirement from employment by the Corporation for a reason other than misconduct are as follows:</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="1025280" lims:id="1025280"><Label>(a)</Label><Text>if before being employed by the Corporation the person was employed in a position to which the <XRefExternal reference-type="act" link="P-33.01">Public Service Employment Act</XRefExternal> applied, the person may be appointed to a position to which that Act applies of a class not lower than the class in which the person was so employed; and</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="1025281" lims:id="1025281"><Label>(b)</Label><Text>if before being employed by the Corporation the person was employed in a position in the Public Service to which the <XRefExternal reference-type="act" link="P-33.01">Public Service Employment Act</XRefExternal> did not apply, the person may be appointed to a position in the public service of Canada to which that Act does not apply of a class not lower than the class in which the person was so employed. (Subsection 22(1), SLSAA)</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="1025282" lims:id="1025282"><Label>(2)</Label><Text>The <XRefExternal reference-type="act" link="G-5">Government Employees Compensation Act</XRefExternal> applies to officers and servants of the Corporation and, notwithstanding section 4, for the purposes of that Act but not otherwise, those officers and servants shall be deemed to be employees in the service of Her Majesty. (Subsection 22(2), SLSAA)</Text></Subsection></Section><Heading lims:inforce-start-date="2006-03-22" lims:fid="1025283" lims:id="1025283" level="2"><TitleText>Contracts with Her Majesty</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="1025284" lims:id="1025284"><Label>8</Label><Text>Although the Corporation is an agent of Her Majesty, it may enter into contracts with Her Majesty. (Section 24, SLSAA)</Text></Section><Heading lims:inforce-start-date="2006-03-22" lims:fid="1025285" lims:id="1025285" level="2"><TitleText>Auditor</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="1025286" lims:id="1025286"><Label>9</Label><Text>The Auditor General of Canada is the auditor of the Corporation.
