(<DefinedTermFr>marché de travaux publics</DefinedTermFr>)</Text></Paragraph></Definition><Definition lims:inforce-start-date="2011-09-22" lims:fid="905821" lims:id="905821" generate-in-text="no"><Text><DefinedTermEn>contract</DefinedTermEn><Repealed>[Repealed, SOR/2011-197, s. 1]</Repealed></Text></Definition><Definition lims:inforce-start-date="2011-09-22" lims:fid="905822" lims:id="905822" generate-in-text="no"><Text><DefinedTermEn>contract security</DefinedTermEn> means</Text><Paragraph lims:inforce-start-date="2011-09-22" lims:fid="905823" lims:id="905823"><Label>(a)</Label><Text lims:inforce-start-date="2023-04-28" lims:enacted-date="2023-04-28" lims:fid="1397824" lims:id="1397861">a payment bond or a performance bond given on behalf of a person to His Majesty to make good on any default by that person under the contract by</Text><Subparagraph lims:inforce-start-date="2023-04-28" lims:enacted-date="2023-04-28" lims:fid="905824" lims:id="1397862"><Label>(i)</Label><Text>compensating His Majesty therefor, or</Text></Subparagraph><Subparagraph lims:inforce-start-date="2011-09-22" lims:fid="905825" lims:id="905825"><Label>(ii)</Label><Text>completing the performance of the contract to the extent required by the terms and conditions of the payment bond or performance bond, or</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2023-04-28" lims:enacted-date="2023-04-28" lims:fid="905826" lims:id="1397863"><Label>(b)</Label><Text>a security deposit given by the person to His Majesty to secure the performance of the contract to the extent required by the terms and conditions of the contract; (<DefinedTermFr>garantie contractuelle</DefinedTermFr>)</Text></Paragraph></Definition><Definition lims:inforce-start-date="2011-09-22" lims:fid="905827" lims:id="905827" generate-in-text="no"><Text><DefinedTermEn>contracting authority</DefinedTermEn> means</Text><Paragraph lims:inforce-start-date="2011-09-22" lims:fid="905828" lims:id="905828"><Label>(a)</Label><Text>the appropriate Minister, as defined in paragraph (a), (a.1) or (b) of the definition <DefinedTermFr>appropriate Minister</DefinedTermFr> in section 2 of the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal>;</Text></Paragraph><Paragraph lims:inforce-start-date="2011-09-22" lims:fid="905829" lims:id="905829"><Label>(b)</Label><Text>a department within the meaning of paragraph (a.1) of the definition of <DefinedTermEn>department</DefinedTermEn> in section 2 of the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal> that has the legal authority to enter into a contract;</Text></Paragraph><Paragraph lims:inforce-start-date="2011-09-22" lims:fid="905830" lims:id="905830"><Label>(c)</Label><Text>a departmental corporation named in Schedule II to the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal>;</Text></Paragraph><Paragraph lims:inforce-start-date="2011-09-22" lims:fid="905831" lims:id="905831"><Label>(d)</Label><Text>any individual — other than a commissioner appointed under the <XRefExternal reference-type="act" link="I-11">Inquiries Act</XRefExternal> and any individual authorized under the <XRefExternal reference-type="act" link="P-1">Parliament of Canada Act</XRefExternal> to enter into a contract — who is authorized by or under an Act of Parliament to enter into a contract. Board;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-06-23" lims:fid="905857" lims:id="905857"><Label>(b)</Label><Text>a contract for the construction of buildings entered into under the <XRefExternal reference-type="act" link="V-1.5">Veterans’ Land Act</XRefExternal>;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-06-23" lims:fid="905858" lims:id="905858"><Label>(c)</Label><Text>a contract entered into under the <XRefExternal reference-type="act" link="I-5">Indian Act</XRefExternal> that involves Indian moneys as defined in that Act;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-06-23" lims:fid="905859" lims:id="905859"><Label>(d)</Label><Text>a contract for the performance of legal services;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-04-28" lims:enacted-date="2023-04-28" lims:fid="1397843" lims:id="1397843"><Label>(d.1)</Label><Text>a service contract for expert advice or testimony for the purpose of developing or advancing His Majesty’s legal position in a litigation, a potential litigation or a dispute resolution process;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-04-28" lims:enacted-date="2023-04-28" lims:fid="1397844" lims:id="1397844"><Label>(d.2)</Label><Text>a contract for the implementation of a settlement agreement in a class proceeding to which His Majesty is a party, or of a court order or judgment in such a proceeding;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-06-23" lims:fid="905860" lims:id="905860"><Label>(e)</Label><Text>a contract for the fit-up of an office or a residential accommodation if the contract for fit-up is part of a transaction authorized pursuant to the <XRefExternal reference-type="act" link="F-8.4">Federal Real Property and Federal Immovables Act</XRefExternal> or the regulations made under it;</Text></Paragraph><Paragraph lims:inforce-start-date="2024-12-16" lims:enacted-date="2024-12-16" lims:fid="905861" lims:id="1503185"><Label>(f)</Label><Text>arrangements entered into under an Interchange Canada Agreement;</Text></Paragraph><Paragraph lims:inforce-start-date="2024-12-16" lims:enacted-date="2024-12-16" lims:fid="905862" lims:id="1503186"><Label>(g)</Label><Text>a contract whose purpose is, for operational reasons, to fulfil an interim requirement for defence supplies or services or to ensure defence logistical capabilities on an interim basis, and any related contract;</Text></Paragraph><Paragraph lims:inforce-start-date="2024-12-16" lims:enacted-date="2024-12-16" lims:fid="1503187" lims:id="1503187"><Label>(h)</Label><Text>a contract entered into with a government entity; or</Text></Paragraph><Paragraph lims:inforce-start-date="2024-12-16" lims:enacted-date="2024-12-16" lims:fid="1503188" lims:id="1503188"><Label>(i)</Label><Text>a contract in respect of which a national security exception is properly invoked in accordance with subsection 10(3) of the <XRefExternal reference-type="regulation" link="SOR-93-602">Canadian International Trade Tribunal Procurement Inquiry Regulations</XRefExternal>, or a contract indispensable to national security in respect of which no trade agreement referred to in subsection 10(2) of those Regulations applies, if the requirements set out in subsection 10(3) of those Regulations are met.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2015-06-23" lims:fid="905863" lims:id="905863"><Label>(2)</Label><Text>Despite paragraph (1)(d), section 4 applies to a contract referred to in that section.</Text></Subsection><Subsection lims:inforce-start-date="2015-06-23" lims:fid="905864" lims:id="905864"><Label>(3)</Label><Text>Despite subsection (1), section 18 applies to any contract referred to in that subsection.</Text></Subsection><Subsection lims:inforce-start-date="2024-12-16" lims:enacted-date="2024-12-16" lims:fid="1503189" lims:id="1503189"><Label>(4)</Label><Text>In this section, <DefinedTermEn>government entity</DefinedTermEn> means</Text><Paragraph lims:inforce-start-date="2024-12-16" lims:enacted-date="2024-12-16" lims:fid="1503190" lims:id="1503190"><Label>(a)</Label><Text>a government of a province, foreign state, a political subdivision of a foreign state, or a municipality;</Text></Paragraph><Paragraph lims:inforce-start-date="2024-12-16" lims:enacted-date="2024-12-16" lims:fid="1503191" lims:id="1503191"><Label>(b)</Label><Text>a Crown corporation or a corporation or agency wholly owned by a government referred to in paragraph (a); or</Text></Paragraph><Paragraph lims:inforce-start-date="2024-12-16" lims:enacted-date="2024-12-16" lims:fid="1503192" lims:id="1503192"><Label>(c)</Label><Text>an intergovernmental organization composed of two or more states, or an lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="905875" lims:id="905875"><Label>5</Label><Text>Before any contract is entered into, the contracting authority shall solicit bids therefor in the manner prescribed by section 7.</Text></Section><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2019-06-10" lims:fid="905876" lims:id="905876"><Label>6</Label><Text>Notwithstanding section 5, a contracting authority may enter into a contract without soliciting bids where</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="905877" lims:id="905877"><Label>(a)</Label><Text>the need is one of pressing emergency in which delay would be injurious to the public interest;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="905878" lims:id="905878"><Label>(b)</Label><Text>the estimated expenditure does not exceed</Text><Subparagraph lims:inforce-start-date="2019-06-10" lims:enacted-date="2019-06-10" lims:fid="905879" lims:id="1143766"><Label>(i)</Label><Text>in the case of a goods contract, $25,000,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2019-06-10" lims:enacted-date="2019-06-10" lims:fid="905880" lims:id="1143767"><Label>(ii)</Label><Text>in the case of a contract to be entered into by the Minister for International Development for the acquisition of architectural, engineering or other services required in respect of the planning, design, preparation or supervision of an international development assistance program or project, $100,000,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2019-06-10" lims:enacted-date="2019-06-10" lims:fid="905881" lims:id="1143768"><Label>(iii)</Label><Text>in the case of a contract for the acquisition of architectural, engineering or other services required in respect of the planning, design, preparation or supervision of the construction, repair, renovation or restoration of a work, $100,000, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2019-06-10" lims:enacted-date="2019-06-10" lims:fid="1143769" lims:id="1143769"><Label>(iv)</Label><Text>in the case of any other contract to which these Regulations apply, $40,000;</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2019-06-10" lims:enacted-date="2019-06-10" lims:fid="905882" lims:id="1143771"><Label>(c)</Label><Text>the nature of the work to be contracted for is such that it would not be in the public interest to solicit bids; or</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="905883" lims:id="905883"><Label>(d)</Label><Text>only one person is capable of lims:enacted-date="2023-04-28" lims:lastAmendedDate="2023-04-28" lims:fid="905899" lims:id="1397856"><Label>10</Label><Text>Where a contracting authority requires a person to give to His Majesty bid security or contract security, that security shall be dealt with in the manner set out in this Part.</Text><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2023-04-28" lims:enacted-date="2023-04-28" lims:fid="1397858" lims:id="1397858" lims:enactId="1397748">SOR/2023-82, s. 5(E)</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="905900" lims:id="905900"><Label>11</Label><Text>No security deposit in the form of government guaranteed bonds with coupons attached thereto shall be accepted by a contracting authority unless all coupons that are unmatured at the time that the bonds are submitted are attached to the bonds.</Text></Section><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="905901" lims:id="905901"><Label>12</Label><Text>A contracting authority shall hold any bid bond, payment bond, performance bond or non-negotiable security deposit that is received by the authority until the terms of the security are fulfilled.</Text></Section><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="905902" lims:id="905902"><Label>13</Label><Subsection lims:inforce-start-date="2006-03-22" lims:fid="905903" lims:id="905903"><Label>(1)</Label><Text>Where a negotiable security deposit is received by a contracting authority as bid security, the contracting authority shall hold that security deposit until it can be disposed of in accordance with subsection (2) or (3).</Text></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="905904" lims:id="905904"><Label>(2)</Label><Text>Where a bid is accepted and contract security is required to be provided,</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="905905" lims:id="905905"><Label>(a)</Label><Text>the contracting authority shall continue to hold the security deposit referred to in subsection (1) until the contract security is provided; and</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="905906" lims:id="905906"><Label>(b)</Label><Text>when the contract security is provided, the contracting authority shall return the security deposit referred to in subsection (1) to the person from whom it was received unless it forms part of the contract security, in which case it shall be retained as contract security.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="905907" lims:id="905907"><Label>(3)</Label><Text>Where a bid is rejected, or is accepted but contract security is not required, the contracting authority shall return the security deposit referred to in subsection (1) to the person from whom it was received.</Text></Subsection></Section><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="905908" lims:id="905908"><Label>14</Label><Text>Where a bill of exchange is received by a contracting authority as contract security or is retained by a contracting authority pursuant to paragraph 13(2)(b), the contracting authority shall immediately deposit the amount of the bill of exchange in the Consolidated Revenue Fund.</Text></Section><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="905909" lims:id="905909"><Label>15</Label><Text>Where a negotiable security deposit other than a bill of exchange is received by a contracting authority as contract security or is retained by a contracting authority pursuant to paragraph 13(2)(b), the contracting authority shall</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="905910" lims:id="905910"><Label>(a)</Label><Text>hold the contract security in a place adequate for the safekeeping of the security; or</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="905911" lims:id="905911"><Label>(b)</Label><Text>immediately forward the contract security to the Receiver General for safekeeping.</Text></Paragraph></Section><Section lims:inforce-start-date="2023-04-28" lims:enacted-date="2023-04-28" lims:lastAmendedDate="2023-04-28" lims:fid="905912" lims:id="1397850"><Label>16</Label><Text>A contracting authority that has received a negotiable security deposit in respect of a contract shall return that security deposit to the contractor if His Majesty has no claim against the contractor arising out of the contract or relating in any manner to the contract and if the contract has been</Text><Paragraph lims:inforce-start-date="2023-04-28" lims:enacted-date="2023-04-28" lims:fid="1397851" lims:id="1397851"><Label>(a)</Label><Text>satisfactorily performed; or</Text></Paragraph><Paragraph lims:inforce-start-date="2023-04-28" lims:enacted-date="2023-04-28" lims:fid="1397852" lims:id="1397852"><Label>(b)</Label><Text>terminated for a reason that is not attributable to any fault of the contractor.</Text></Paragraph><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2023-04-28" lims:enacted-date="2023-04-28" lims:fid="1397854" lims:id="1397854" lims:enactId="1397746">SOR/2023-82, s. security deposit in the form of a government guaranteed bond has unmatured coupons attached to it at the time it is submitted, the contracting authority or the Receiver General, as the case may be, shall return any matured coupons in excess of the security deposit requirement to the person from whom the security deposit was received, if that person so requests.</Text></Section><Heading lims:inforce-start-date="2011-09-22" lims:fid="905917" lims:id="905917" level="1"><Label>PART III</Label><TitleText>Deemed Terms</TitleText></Heading><Section lims:inforce-start-date="2017-05-05" lims:lastAmendedDate="2023-04-28" lims:fid="905918" lims:id="905918"><Label>18</Label><Subsection lims:inforce-start-date="2017-05-05" lims:fid="905919" lims:id="905919"><Label>(1)</Label><Text lims:inforce-start-date="2023-04-28" lims:enacted-date="2023-04-28" lims:fid="1397819" lims:id="1397866">The following terms are deemed to be expressly set out in every construction, goods or service contract that provides for the payment of any money by His Majesty:</Text><Paragraph lims:inforce-start-date="2017-05-05" lims:fid="905920" lims:id="905920"><Label>(a)</Label><Text>the contractor declares that the contractor has not, directly or indirectly, paid or agreed to pay, and will not, directly or indirectly, pay a contingency fee to any individual for the solicitation, negotiation or obtaining of the contract if the payment of the fee would require the individual to file a return under section 5 of the <XRefExternal reference-type="act" link="L-12.4">Lobbying Act</XRefExternal>;</Text></Paragraph><Paragraph lims:inforce-start-date="2017-05-05" lims:fid="905921" lims:id="905921"><Label>(b)</Label><Text>all accounts and records relating to any payment by the contractor of fees or other compensation for the solicitation, negotiation or obtaining of the contract shall be subject to any accounting and auditing provisions of the contract;</Text></Paragraph><Paragraph lims:inforce-start-date="2017-05-05" lims:fid="905922" lims:id="905922"><Label>(c)</Label><Text>the contractor declares that the contractor has not been convicted of an offence under any of the provisions referred to in subsection 750(3) of the <XRefExternal reference-type="act" link="C-46">Criminal Code</XRefExternal> or that, if the contractor has been convicted of any of those offences, it is one for which</Text><Subparagraph lims:inforce-start-date="2017-05-05" lims:fid="905923" lims:id="905923"><Label>(i)</Label><Text>a pardon was granted under the <XRefExternal reference-type="act" link="C-47">Criminal Records Act</XRefExternal> — as it read immediately before the coming into force of section 109 of the <XRefExternal reference-type="act">Safe Streets and Communities Act</XRefExternal> — that has not been revoked or ceased to have effect,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2017-05-05" lims:fid="905924" lims:id="905924"><Label>(ii)</Label><Text>a record suspension has been ordered under the <XRefExternal reference-type="act" link="C-47">Criminal Records Act</XRefExternal> and that has not been revoked or ceased to have effect,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2017-05-05" lims:fid="905925" lims:id="905925"><Label>(iii)</Label><Text>an order of restoration was made under subsection 750(5) of the <XRefExternal reference-type="act" link="C-46">Criminal Code</XRefExternal> that restores the contractor’s capacity to enter into the contract or to receive any benefit under the contract as the case may be, or</Text></Subparagraph><Subparagraph lims:inforce-start-date="2017-05-05" lims:fid="905926" lims:id="905926"><Label>(iv)</Label><Text>the conviction was set aside by a competent authority;</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2019-06-10" lims:enacted-date="2019-06-10" lims:fid="1143772" lims:id="1143772"><Label>(c.1)</Label><Text>the contractor declares that the contractor has not, during the solicitation, negotiation or obtaining of the contract, committed an act or engaged in an activity that would constitute an offence under</Text><Subparagraph lims:inforce-start-date="2023-04-28" lims:enacted-date="2023-04-28" lims:fid="1143773" lims:id="1397867"><Label>(i)</Label><Text>section 121 (frauds on the government), 124 (selling or purchasing office), 380 (fraud) or 418 (selling defective stores to His Majesty) of the <XRefExternal reference-type="act" link="C-46">Criminal Code</XRefExternal>,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2019-06-10" lims:enacted-date="2019-06-10" lims:fid="1143774" lims:id="1143774"><Label>(ii)</Label><Text>paragraph 80(1)(d) or subsection 80(2) or 154.01(1) of the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal>,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2019-06-10" lims:enacted-date="2019-06-10" lims:fid="1143775" lims:id="1143775"><Label>(iii)</Label><Text>section 3 (bribing a foreign public official) or 4 (accounting) of the <XRefExternal reference-type="act" link="C-45.2">Corruption of Foreign Public Officials Act</XRefExternal>, or</Text></Subparagraph><Subparagraph lims:inforce-start-date="2019-06-10" lims:enacted-date="2019-06-10" lims:fid="1143776" lims:id="1143776"><Label>(iv)</Label><Text>section 45 (conspiracies, agreements or arrangements between competitors), 47 (bid-rigging) or 49 (agreements or arrangements of federal financial institutions) of the <XRefExternal reference-type="act" link="C-34">Competition Act</XRefExternal>;</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2017-05-05" lims:fid="905927" lims:id="905927"><Label>(d)</Label><Text>the contractor consents, in the case of a contract that has a value in excess of $10,000, to the public disclosure of basic information — other than information described in any of paragraphs 20(1)(a) to (d) of the <XRefExternal reference-type="act" link="A-1">Access to Information Act</XRefExternal> — relating to the contract; and</Text></Paragraph><Paragraph lims:inforce-start-date="2019-06-10" lims:enacted-date="2019-06-10" lims:fid="905928" lims:id="1143777"><Label>(e)</Label><Text>a contractor who makes a false declaration under paragraph (a), (c) or (c.1) or who fails to comply with the terms set out in paragraph (b) or (d) is in default under the contract and agrees, in addition to any other remedies that may be available against them, that they will immediately return any advance payments and that the contracting authority may terminate the contract.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2017-05-05" lims:fid="905929" lims:id="905929"><Label>(2)</Label><Text lims:inforce-start-date="2023-04-28" lims:enacted-date="2023-04-28" lims:fid="1397821" lims:id="1397868">The following terms are deemed to be expressly set out in every bid solicitation for a construction, goods or service contract that provides for the payment of any money by His Majesty:</Text><Paragraph lims:inforce-start-date="2019-06-10" lims:enacted-date="2019-06-10" lims:fid="905930" lims:id="1143778"><Label>(a)</Label><Text>the bidder declares that the bidder has not, directly or indirectly, paid or agreed to pay, and will not, directly or indirectly, pay, a contingency fee to any individual for the solicitation, negotiation or obtaining of the contract if the payment of the fee would require the individual to file a return under section 5 of the <XRefExternal reference-type="act" link="L-12.4">Lobbying Act</XRefExternal>;</Text></Paragraph><Paragraph lims:inforce-start-date="2017-05-05" lims:fid="905931"
