lims:fid="383623" lims:id="383623">To ensure regulation of institutions and pension plans</MarginalNote><Label>3.1</Label><Text>The purpose of this Act is to ensure that financial institutions and pension plans are regulated by an office of the Government of Canada so as to contribute to public confidence in the Canadian financial system.</Text><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2018-06-21" lims:fid="383626" lims:id="383626" level="1"><TitleText>Establishment of the Office</TitleText></Heading><Section lims:inforce-start-date="2012-12-14" lims:lastAmendedDate="2023-06-22" lims:fid="383627" lims:id="383627"><MarginalNote lims:inforce-start-date="2012-12-14" lims:fid="383628" lims:id="383628">Office established</MarginalNote><Label>4</Label><Subsection lims:inforce-start-date="2012-12-14" lims:fid="383629" lims:id="383629"><Label>(1)</Label><Text>There is hereby established an office of the Government of Canada called the Office of the Superintendent of Financial Institutions over which the Minister shall preside and for which the Minister shall be responsible.</Text></Subsection><Subsection lims:inforce-start-date="2012-12-14" lims:fid="383630" lims:id="383630"><MarginalNote lims:inforce-start-date="2012-12-14" lims:fid="383631" lims:id="383631">Objects of Office — financial institutions</MarginalNote><Label>(2)</Label><Text>The objects of the Office, in respect of financial institutions, are</Text><Paragraph lims:inforce-start-date="2012-12-14" lims:fid="383632" lims:id="383632"><Label>(a)</Label><Text>to supervise financial institutions in order to determine whether they are in sound financial condition and are complying with their governing statute law and supervisory requirements under that law;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-06-22" lims:enacted-date="2023-06-22" lims:fid="1417161" lims:id="1417161"><Label>(a.1)</Label><Text>to supervise financial institutions in order to determine whether they have adequate policies and procedures to protect themselves against threats to their integrity or security, including foreign interference;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-06-22" lims:enacted-date="2023-06-22" lims:fid="383633" lims:id="1417163"><Label>(b)</Label><Text>to promptly advise the management and board of directors of a financial institution in the event the institution is not in sound financial condition or is not complying with its governing statute law or supervisory requirements under that law and, in such a case, to take, or require the management or board to take, the necessary corrective measures or series of measures to deal with the situation without delay;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-06-22" lims:enacted-date="2023-06-22" lims:fid="1417162" lims:id="1417162"><Label>(b.1)</Label><Text>to promptly advise the management and board of directors of a financial institution in the event the institution does not have adequate policies and procedures to protect itself against threats to its integrity or security and, in such a case, to take, or require the management or board to take, the necessary corrective measures or series of measures to deal with the situation without delay;</Text></Paragraph><Paragraph lims:inforce-start-date="2012-12-14" lims:fid="383634" lims:id="383634"><Label>(c)</Label><Text>to promote the adoption by management and boards of directors of financial institutions of policies and procedures designed to control and manage risk; and</Text></Paragraph><Paragraph lims:inforce-start-date="2012-12-14" lims:fid="383635" lims:id="383635"><Label>(d)</Label><Text>to monitor and evaluate system-wide or sectoral events or issues that may have a negative impact on the financial condition of financial institutions.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2012-12-14" lims:fid="383636" lims:id="383636"><MarginalNote lims:inforce-start-date="2012-12-14" lims:fid="383637" lims:id="383637">Objects of Office — pension plans</MarginalNote><Label>(2.1)</Label><Text>The objects of the Office, in respect of pension plans, are</Text><Paragraph lims:inforce-start-date="2012-12-14" lims:fid="383638" lims:id="383638"><Label>(a)</Label><Text>to supervise pension plans to determine whether they meet the minimum funding requirements and are complying with the other requirements of the <XRefExternal reference-type="act" link="P-7.01">Pension Benefits Standards Act, 1985</XRefExternal> and the <XRefExternal reference-type="act" link="P-15.3">Pooled Registered Pension Plans Act</XRefExternal> and their regulations and supervisory requirements under that legislation;</Text></Paragraph><Paragraph lims:inforce-start-date="2012-12-14" lims:fid="383639" lims:id="383639"><Label>(b)</Label><Text>to promptly advise the administrator of a pension plan in the event that the plan is not meeting the minimum funding requirements or is not complying with other requirements of the <XRefExternal reference-type="act" link="P-7.01">Pension Benefits Standards Act, 1985</XRefExternal> or the <XRefExternal reference-type="act" link="P-15.3">Pooled Registered Pension Plans Act</XRefExternal> or their regulations or supervisory requirements under that legislation and, in such a case, to take, or require the administrator to take, the necessary corrective measures or series of measures to deal with the situation in an expeditious manner; and</Text></Paragraph><Paragraph lims:inforce-start-date="2012-12-14" lims:fid="383640" lims:id="383640"><Label>(c)</Label><Text>to promote the adoption by administrators of pension plans of policies and procedures designed to control and manage risk.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2012-12-14" lims:fid="383641" lims:id="383641"><MarginalNote lims:inforce-start-date="2012-12-14" lims:fid="383642" lims:id="383642">Protection of depositors, etc.</MarginalNote><Label>(3)</Label><Text>In pursuing its objects, the Office shall strive</Text><Paragraph lims:inforce-start-date="2012-12-14" lims:fid="383643" lims:id="383643"><Label>(a)</Label><Text>in respect of financial institutions, to protect the rights and interests of depositors, policyholders and creditors of financial institutions, having due regard to the need to allow financial institutions to compete effectively and take reasonable risks; and</Text></Paragraph><Paragraph lims:inforce-start-date="2012-12-14" lims:fid="383644" lims:id="383644"><Label>(b)</Label><Text>in respect of pension plans, to protect the rights and interests of members of pension plans, former members and any other persons who are entitled to pension benefits or refunds under pension plans.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2012-12-14" lims:fid="383645" lims:id="383645"><MarginalNote lims:inforce-start-date="2012-12-14" lims:fid="383646" lims:id="383646">Factors affecting financial institutions</MarginalNote><Label>(4)</Label><Text>Notwithstanding that the regulation and supervision of financial institutions by the Office and the Superintendent can reduce the risk that financial institutions will fail, regulation and supervision must be carried out having regard to the fact that boards of directors are responsible for the management of financial institutions, financial institutions carry on business in a competitive environment that necessitates the management of risk and financial institutions can experience financial difficulties that can lead to their failure.</Text></Subsection><Subsection lims:inforce-start-date="2012-12-14" lims:fid="383647" lims:id="383647"><MarginalNote lims:inforce-start-date="2012-12-14" lims:fid="383648" lims:id="383648">Factors affecting pension plans</MarginalNote><Label>(5)</Label><Text>Notwithstanding that the regulation and supervision of pension plans by the Office and the Superintendent can reduce the risk that pension plans will fail to pay the expected benefits, regulation and supervision must be carried out having regard to the fact that administrators of pension plans are responsible for the management of the pension plans and that pension plans can experience financial and funding difficulties that can result in the reduction of those benefits.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem Institutions</TitleText></Heading><Section lims:inforce-start-date="2003-01-01" lims:lastAmendedDate="2003-01-01" lims:fid="383652" lims:id="383652"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="383653" lims:id="383653">Appointment of Superintendent</MarginalNote><Label>5</Label><Subsection lims:inforce-start-date="2003-01-01" lims:fid="383654" lims:id="383654"><Label>(1)</Label><Text>The Governor in Council shall appoint an officer called the Superintendent of Financial Institutions to be the deputy head of the Office.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="383655" lims:id="383655"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="383656" lims:id="383656">Tenure of office and removal</MarginalNote><Label>(2)</Label><Text>The Superintendent holds office during good behaviour for a term of seven years, but may be removed for cause by the Governor in Council.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="383657" lims:id="383657"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="383658" lims:id="383658">Tabling reasons</MarginalNote><Label>(3)</Label><Text>Where the Superintendent is removed from office, the order in council providing for the removal and the documents relating thereto shall be laid before each House of Parliament not later than the fifteenth sitting day of that House following the day that the order is issued.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="383659" lims:id="383659"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="383660" lims:id="383660">Further terms</MarginalNote><Label>(4)</Label><Text>The Superintendent, on the expiration of any term of office, is eligible to be re-appointed for a further term of office.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="383661" lims:id="383661"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="383662" lims:id="383662">Absence or incapacity</MarginalNote><Label>(5)</Label><Text>In the event of the absence or incapacity of the Superintendent, or if the office of Superintendent is vacant, the Governor in Council may appoint a qualified person to hold office instead of the Superintendent for a term not exceeding six months, and that person shall, while holding that office, have all of the powers, duties and functions of the Superintendent under this Part or any other Act of Parliament.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="383663" lims:id="383663"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="383664" lims:id="383664">Further terms</MarginalNote><Label>(6)</Label><Text>A person appointed pursuant to subsection (5), on the expiration of any term of office, is eligible to be re-appointed for a further term of office.</Text></Subsection></Section><Heading lims:inforce-start-date="2018-06-21" lims:fid="383665" lims:id="383665" level="1"><TitleText>Powers, Duties and Functions of the Superintendent</TitleText></Heading><Section lims:inforce-start-date="2003-01-01" lims:lastAmendedDate="2003-01-01" lims:fid="383666" lims:id="383666"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="383667" lims:id="383667">Duties, powers and functions of the Superintendent</MarginalNote><Label>6</Label><Subsection lims:inforce-start-date="2003-01-01" lims:fid="383668" lims:id="383668"><Label>(1)</Label><Text>The Superintendent has the powers, duties and functions assigned to the Superintendent by the Acts referred to in the schedule to this Part and shall examine into and report to the Minister from time to time on all matters connected with the administration of the provisions of those Acts except those that are consumer provisions as defined in section 2 of the <XRefExternal reference-type="act" link="F-11.1">Financial Consumer Agency of Canada Act</XRefExternal>.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="383669" lims:id="383669"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="383670" lims:id="383670">Securities activities</MarginalNote><Label>(2)</Label><Text>Where, pursuant to the Act that applies to it, a financial institution or any of its officers or employees engages in</Text><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="383671" lims:id="383671"><Label>(a)</Label><Text>underwriting securities,</Text></Paragraph><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="383672" lims:id="383672"><Label>(b)</Label><Text>trading in securities, or</Text></Paragraph><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="383673" lims:id="383673"><Label>(c)</Label><Text>providing advisory or management services in respect of securities,</Text></Paragraph><ContinuedSectionSubsection lims:inforce-start-date="2003-01-01" lims:fid="383674" lims:id="383674"><Text>the Superintendent shall examine and inquire into the carrying out of those activities, and report to the Minister from time to time on all matters connected therewith.</Text></ContinuedSectionSubsection></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="383675" lims:id="383675"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="383676" lims:id="383676">Superintendent to administer regulations</MarginalNote><Label>(3)</Label><Text>The Superintendent is responsible for the administration of such regulations as the Governor in Council may make respecting the carrying out of the activities referred to in subsection (2) by financial institutions and their officers and employees, and every financial institution and every officer and employee thereof that carries out any such activity shall do so subject to those regulations.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="383677" lims:id="383677"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="383678" lims:id="383678">Regulation may provide for discretion</MarginalNote><Label>(4)</Label><Text>A regulation made pursuant to subsection (3) may provide that the Superintendent may, by order, determine such matters or exercise such discretion as the regulation may specify in relation to the carrying out of the activities referred to in subsection (2) by a financial institution or any of its officers and employees.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="383679" lims:id="383679"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="383680" lims:id="383680">Interpretation</MarginalNote><Label>(5)</Label><Text>For the purposes of subsection (2), the Act that applies to a financial institution is the Act set out in respect thereof in the lims:inforce-start-date="2003-01-01" lims:fid="383685" lims:id="383685"><Label>(1)</Label><Text>The Superintendent shall engage exclusively in the duties and functions of the Superintendent under section 6 and the duties and functions of the Superintendent as the deputy head of the Office.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="383686" lims:id="383686"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="383687" lims:id="383687">Other duties</MarginalNote><Label>(2)</Label><Text>Notwithstanding subsection (1), the Superintendent may hold any other office under Her Majesty or perform any other duties for Her Majesty, but not for reward.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem to authorize the Superintendent to exercise or perform the powers, duties and functions on behalf of the appropriate authority of the province, that the Minister may determine, in respect of trust, loan or insurance companies incorporated or regulated by or under an Act of the legislature of the province; and</Text></Paragraph><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="383696" lims:id="383696"><Label>(c)</Label><Text>in order to</Text><Subparagraph lims:inforce-start-date="2003-01-01" lims:fid="383697" lims:id="383697"><Label>(i)</Label><Text>make applicable the <XRefExternal reference-type="act" link="T-19.8">Trust and Loan Companies Act</XRefExternal>, the <XRefExternal reference-type="act" link="I-11.8">Insurance Companies Act</XRefExternal> or this Act, or any provisions of these Acts, and the regulations made under any of these Acts, with the modifications that the Minister considers necessary, in respect of trust, loan or insurance companies that are incorporated or regulated by or under an Act of the legislature of the province, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2003-01-01" lims:fid="383698" lims:id="383698"><Label>(ii)</Label><Text>limit the application of provincial legislation in respect of trust, loan or insurance companies that are incorporated or regulated by an Act of the the Deputy Minister of Finance or to the Governor of the Bank of Canada or any officer of the Bank of Canada authorized in writing by the Governor of the Bank of Canada, for the purposes of policy analysis related to the regulation of financial institutions,</Text></Paragraph><ContinuedSectionSubsection lims:inforce-start-date="2014-06-19" lims:fid="383798" lims:id="383798"><Text>if the Superintendent is satisfied that the information will be treated as confidential by the agency, body or person to whom it is disclosed.</Text></ContinuedSectionSubsection></Subsection><Subsection lims:inforce-start-date="2014-06-19" lims:fid="383799" lims:id="383799"><MarginalNote lims:inforce-start-date="2014-06-19" lims:fid="383800" lims:id="383800">Regulations</MarginalNote><Label>(2.1)</Label><Text>The Governor in Council may make regulations prohibiting, limiting or restricting the disclosure by financial institutions, bank holding companies or insurance holding companies of prescribed supervisory information.</Text></Subsection><Subsection lims:inforce-start-date="2014-06-19" lims:fid="383801" lims:id="383801"><MarginalNote lims:inforce-start-date="2014-06-19" lims:fid="383802" lims:id="383802">Disclosure</MarginalNote><Label>(3)</Label><Text>The Superintendent shall disclose, at such times and in such manner as the Minister may determine, such information obtained by the Superintendent under the <XRefExternal reference-type="act" link="B-1.01">Bank Act</XRefExternal>, the <XRefExternal reference-type="act" link="C-41.01">Cooperative Credit Associations Act</XRefExternal>, the <XRefExternal reference-type="act" link="I-11.8">Insurance Companies Act</XRefExternal> and the <XRefExternal reference-type="act" link="T-19.8">Trust and Loan Companies Act</XRefExternal> as the Minister considers ought to be disclosed for the purposes of the analysis of the financial condition of a financial institution and that</Text><Paragraph lims:inforce-start-date="2014-06-19" lims:fid="383803" lims:id="383803"><Label>(a)</Label><Text>is contained in returns filed pursuant to the Superintendent’s financial regulatory reporting requirements; or</Text></Paragraph><Paragraph lims:inforce-start-date="2014-06-19" lims:fid="383804" lims:id="383804"><Label>(b)</Label><Text>has been obtained as a result of an industry-wide or sectoral survey conducted by the Superintendent in relation to an issue or circumstances that could have an impact on the financial condition of financial institutions.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2014-06-19" lims:fid="383805" lims:id="383805"><MarginalNote lims:inforce-start-date="2014-06-19" lims:fid="383806" lims:id="383806">Prior consultation required</MarginalNote><Label>(4)</Label><Text>The Minister shall consult with the Superintendent before making any determination under subsection (3).</Text></Subsection><Subsection lims:inforce-start-date="2014-06-19" lims:fid="383807" lims:id="383807"><MarginalNote lims:inforce-start-date="2014-06-19" lims:fid="383808" lims:id="383808">Exceptions to disclosure</MarginalNote><Label>(5)</Label><Text>Subject to any regulations made under a statute referred to in subsection (3) governing the use by a financial institution of any information supplied to it by its customers, no information obtained by a financial institution regarding any of its customers shall be disclosed or made available under subsection (3).</Text></Subsection><Subsection lims:inforce-start-date="2014-06-19" lims:fid="383809" lims:id="383809"><MarginalNote lims:inforce-start-date="2014-06-19" lims:fid="383810" lims:id="383810">Report respecting disclosure</MarginalNote><Label>(6)</Label><Text>The Superintendent shall prepare a report, to be included in the report referred to in section 40, respecting the disclosure of information by financial institutions, and describing the state of progress made in enhancing the disclosure of information in the financial services or estimated by the Superintendent under subsection (1) or (1.1), as the case may be, is final and conclusive for the purposes of this section.</Text></Subsection><Subsection lims:id="383824">Assessment</MarginalNote><Label>(3)</Label><Text>As soon as possible after ascertaining the amount referred to in subsection (1), the Superintendent shall assess the amount against each financial institution, bank holding company and insurance holding company to any extent and in any manner that the Governor in Council may, by regulation, lims:id="383826">Interim assessment</MarginalNote><Label>(4)</Label><Text>The Superintendent may, during each fiscal year, prepare an interim assessment against any financial institution, bank holding company or insurance holding company.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="383827" lims:id="383827"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="383828" lims:id="383828">Assessment — pension plans</MarginalNote><Label>(5)</Label><Text>In every fiscal year, the Superintendent shall assess, in the prescribed manner, an amount against the administrator of a pension plan. 2001, c. 9, s. 476; 2010, c. 25, s. 176; 2012, c. 16, s. 92</HistoricalNoteSubItem></HistoricalNote></Section><Heading lims:inforce-start-date="2018-06-21" lims:fid="383866" lims:id="383866" level="2"><TitleText>Violations</TitleText></Heading><Section lims:inforce-start-date="2003-01-01" lims:lastAmendedDate="2003-01-01" lims:fid="383867" lims:id="383867"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="383868" lims:id="383868">Regulations</MarginalNote><Label>25</Label><Subsection lims:inforce-start-date="2003-01-01" lims:fid="383869" lims:id="383869"><Label>(1)</Label><Text>The Governor in Council may make regulations</Text><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="383870" lims:id="383870"><Label>(a)</Label><Text>designating, as a violation that may be proceeded with under sections 26 to 37, the contravention of a specified provision of a financial institutions Act or of a specified provision of a regulation made under one or the non-compliance with</Text><Subparagraph lims:inforce-start-date="2003-01-01" lims:fid="383871" lims:id="383871"><Label>(i)</Label><Text>an order made by the Superintendent under a financial institutions Act,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2003-01-01" lims:fid="383872" lims:id="383872"><Label>(ii)</Label><Text>a direction made under a financial institutions Act to cease or refrain from committing an act or pursuing a course of conduct that is an unsafe or unsound practice, or to perform a remedial act,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2003-01-01" lims:fid="383873" lims:id="383873"><Label>(iii)</Label><Text>terms and conditions imposed by the Superintendent or an undertaking given to the Superintendent under a financial institutions Act, or</Text></Subparagraph><Subparagraph lims:inforce-start-date="2003-01-01" lims:fid="383874" lims:id="383874"><Label>(iv)</Label><Text>a prudential agreement entered into with the Superintendent under a financial institutions Act;</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="383875" lims:id="383875"><Label>(b)</Label><Text>classifying each violation as a minor violation, a serious violation or a very serious violation;</Text></Paragraph><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="383876" lims:id="383876"><Label>(c)</Label><Text>fixing, in accordance with subsection (2), a penalty, or a range of penalties, in respect of any violation;</Text></Paragraph><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="383877" lims:id="383877"><Label>(d)</Label><Text>respecting the service of documents required or authorized to be served under sections 26 to 37, including the manner and proof of service and the circumstances under which documents are deemed to be served; and</Text></Paragraph><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="383878" lims:id="383878"><Label>(e)</Label><Text>generally for carrying out the purposes and provisions of section 24, this section and sections 26 to 37.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="383879" lims:id="383879"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="383880" lims:id="383880">Maximum penalties</MarginalNote><Label>(2)</Label><Text>The maximum penalty for a violation is</Text><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="383881" lims:id="383881"><Label>(a)</Label><Text>in the case of a violation that is committed by a natural person, $10,000 for a minor violation, $50,000 for a serious violation and $100,000 for a very serious violation;
