lims:fid="364295" lims:id="364295">Functions of Council</MarginalNote><Label>4</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364296" lims:id="364296"><Label>(1)</Label><Text>The functions of the Council are to</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="364297" lims:id="364297"><Label>(a)</Label><Text>promote and assist research in the natural sciences and engineering, other than the health sciences; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="364298" lims:id="364298"><Label>(b)</Label><Text>advise the Minister in respect of such matters relating to such research as the Minister may refer to the Council for its consideration.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364299" lims:id="364299"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="364300" lims:id="364300">Powers of Council</MarginalNote><Label>(2)</Label><Text>The Council, in carrying out its functions under subsection (1), may</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="364301" lims:id="364301"><Label>(a)</Label><Text>expend, for the purposes of this Act, any money appropriated by Parliament for the work of the Council or received by the Council through the conduct of its operations; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="364302" lims:id="364302"><Label>(b)</Label><Text>publish and sell or otherwise distribute such scholarly, scientific and technical information relating level="1"><TitleText>Organization</TitleText></Heading><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="364306" lims:id="364306"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="364307" lims:id="364307">Appointment of President</MarginalNote><Label>5</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364308" lims:id="364308"><Label>(1)</Label><Text>The President of the Council shall be appointed to hold office for such term, not exceeding five years, as the Governor in Council may determine.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364309" lims:id="364309"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="364310" lims:id="364310">Other members</MarginalNote><Label>(2)</Label><Text>Each of the members of the Council, other than the President, shall be appointed to hold office for such term, not exceeding three years, as will ensure as far as possible the expiration in any one year of the terms of appointment of fewer than half of the members so appointed.</Text></Subsection><Subsection re-appointment</MarginalNote><Label>(3)</Label><Text>A retiring President or other member is eligible for re-appointment to the Council in the same or another lims:id="364317"><Label>(1)</Label><Text>The Council may, with the approval of the Governor in Council, elect one of its members to be Vice-President of the Council.</Text></Subsection><Subsection Vice-President</MarginalNote><Label>(2)</Label><Text>In the event of the absence or incapacity of the President or if the office of President is vacant, the Vice-President has all the powers of the lims:inforce-start-date="2002-12-31" lims:fid="364323" lims:id="364323">Salary and expenses of President</MarginalNote><Label>7</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364324" lims:id="364324"><Label>(1)</Label><Text>The President shall be paid such salary and expenses as are fixed by the Governor in Council.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364325" lims:id="364325"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="364326" lims:id="364326">Remuneration and expenses</MarginalNote><Label>(2)</Label><Text>The members of the Council, other than the President, shall serve without remuneration but each of those members is entitled to be paid reasonable travel and other expenses incurred by the member while absent from his ordinary place of residence in the course of his duties under this Act.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364327" lims:id="364327"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="364328" lims:id="364328">Remuneration of members for additional duties</MarginalNote><Label>(3)</Label><Text>Notwithstanding subsection (2), a member of the Council, other than the President, may, for any period during which the member performs with the approval of the Council any duties on behalf of the Council in addition to the ordinary duties of the member as such, be paid such remuneration therefor as may be authorized by the lims:inforce-start-date="2002-12-31" lims:fid="364340" lims:id="364340">Authority of President</MarginalNote><Label>10</Label><Text>The President is the chief executive officer of the Council and has lims:inforce-start-date="2002-12-31" lims:fid="364344" lims:id="364344">Executive committee</MarginalNote><Label>11</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364345" lims:id="364345"><Label>(1)</Label><Text>There is hereby established an executive committee of the Council consisting of the President, the Vice-President and at least six other members selected by the Council.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364346" lims:id="364346"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="364347" lims:id="364347">Duties of executive committee</MarginalNote><Label>(2)</Label><Text>The executive committee of the Council may exercise such of the powers and perform such of the functions of the Council as the Council may by by-law assign to it and shall submit at each meeting of the Council minutes of its proceedings since the last preceding meeting of the lims:inforce-start-date="2002-12-31" lims:fid="364351" lims:id="364351">By-laws</MarginalNote><Label>12</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364352" lims:id="364352"><Label>(1)</Label><Text>Subject to the approval of the Governor in Council, the Council may make by-laws for the regulation of its proceedings and generally for the conduct of its activities, including the establishment of special, standing and other committees of the Council.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364353" lims:id="364353"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="364354" lims:id="364354">Advisory committees</MarginalNote><Label>(2)</Label><Text>Any by-law made pursuant to subsection (1) establishing an advisory committee of the Council may provide for the members of the committee to include persons other than members of the Council, in addition to members of the Council.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364355" lims:id="364355"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="364356" lims:id="364356">Remuneration of advisory committee members</MarginalNote><Label>(3)</Label><Text>The members of an advisory committee who are not members of the Council may be paid for their services lims:inforce-start-date="2002-12-31" lims:fid="364361" lims:id="364361"><Label>(1)</Label><Text>The Council may</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="364362" lims:id="364362"><Label>(a)</Label><Text>appoint such officers and employees as are necessary for the proper conduct of the work of the Council; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="364363" lims:id="364363"><Label>(b)</Label><Text>prescribe the duties of those officers and employees and the conditions of their employment.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364364" lims:id="364364"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="364365" lims:id="364365">Salaries and expenses of staff</MarginalNote><Label>(2)</Label><Text>The officers and employees of the Council appointed as provided in subsection (1) shall be paid such salaries and expenses as are fixed by the Council with the approval of the Governor in Council.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364366" lims:id="364366"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="364367" lims:id="364367">Temporary appointments</MarginalNote><Label>(3)</Label><Text>The Council may authorize the President or any other officer of the Majesty</MarginalNote><Label>14</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364372" lims:id="364372"><Label>(1)</Label><Text>The Council is for all its purposes an agent of Her Majesty and it may exercise its powers only as an agent of Her Majesty.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364373" lims:id="364373"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="364374" lims:id="364374">Contracts</MarginalNote><Label>(2)</Label><Text>The Council may on behalf of Her Majesty enter into contracts in the name of Her Majesty or in its own name.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364375" lims:id="364375"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="364376" lims:id="364376">Property</MarginalNote><Label>(3)</Label><Text>Any property acquired by the Council is the property of Her Majesty and title thereto may be vested in the name of Her Majesty or in the name of the Council.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="364377" lims:id="364377"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="364378" lims:id="364378">Proceedings</MarginalNote><Label>(4)</Label><Text>Actions, suits or other legal proceedings in respect of any right or obligation acquired or incurred by the Council on behalf of Her Majesty, whether in its name or in the name of Her Majesty, may be brought or taken by or against the Council in the name of the Council in any court that would have jurisdiction if the Council were bequest or otherwise and, notwithstanding anything in this Act, may expend, administer or dispose of the money, securities or other property subject to the terms, if any, on which the money,
