Act</XRefExternal>.</Text></Section><Heading lims:inforce-start-date="2013-03-27" lims:fid="224749" lims:id="224749" level="1"><TitleText>Interpretation</TitleText></Heading><Section lims:id="224751">Definitions</MarginalNote><Label>2</Label><Text>The following definitions apply in this Act.</Text><Definition lims:inforce-start-date="2013-03-27" lims:fid="224752" lims:id="224752"><Text><DefinedTermEn>consolidated financial statements</DefinedTermEn> means the financial statements of a First Nation — prepared in accordance with generally accepted accounting principles — in which the assets, liabilities, equity, income, expenses and cash flows of the First Nation and of those entities that are required by those principles to be included are presented as those of a single economic entity, as if the First Nation were a government reporting on its financial information. (<DefinedTermFr>états financiers consolidés</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-03-27" lims:fid="224753" lims:id="224753"><Text><DefinedTermEn>council</DefinedTermEn> has the same meaning as <DefinedTermEn>council of the band</DefinedTermEn> in subsection 2(1) of the <XRefExternal reference-type="act" link="I-5">Indian lims:id="224754"><Text><DefinedTermEn>entity</DefinedTermEn> means a corporation or a partnership, a joint venture or any other unincorporated association or organization. (<DefinedTermFr>entité</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-03-27" lims:fid="224755" lims:id="224755"><Text><DefinedTermEn>expenses</DefinedTermEn> includes the costs of transportation, accommodation, meals, hospitality and incidental expenses. (<DefinedTermFr>dépenses</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-03-27" lims:fid="224756" lims:id="224756"><Text><DefinedTermEn>First Nation</DefinedTermEn> means a band, as defined in subsection 2(1) of the <XRefExternal reference-type="act" link="I-5">Indian Act</XRefExternal>, but does not include a band that is party to a comprehensive self-government agreement given effect by an Act of Parliament. (<DefinedTermFr>première nation</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-03-27" lims:fid="224757" lims:id="224757"><Text><DefinedTermEn>member</DefinedTermEn> has the same meaning as <DefinedTermEn>member of a band</DefinedTermEn> in subsection 2(1) of the <XRefExternal lims:id="224759"><Text><DefinedTermEn>remuneration</DefinedTermEn> means any salaries, wages, commissions, bonuses, fees, honoraria and dividends and any other monetary benefits — other than the level="1"><TitleText>General</TitleText></Heading><Section lims:inforce-start-date="2013-03-27" lims:lastAmendedDate="2013-03-27" lims:fid="224761" lims:id="224761"><MarginalNote lims:inforce-start-date="2013-03-27" lims:fid="224762" lims:id="224762">Purpose of Act</MarginalNote><Label>3</Label><Text>The purpose of this Act is to enhance the financial accountability and transparency of First Nations by requiring the preparation and public disclosure of their audited consolidated financial statements and of the schedules of remuneration paid and expenses reimbursed to a First Nation’s chief and each of its councillors — acting in their capacity as such and in any other capacity, including their personal capacity — by the First Nation and by any entity that, in accordance with generally accepted accounting principles, is required to be consolidated with the First Nation.</Text></Section><Section lims:inforce-start-date="2013-03-27" lims:lastAmendedDate="2013-03-27" lims:fid="224763" lims:id="224763"><MarginalNote lims:inforce-start-date="2013-03-27" lims:fid="224764" lims:id="224764">Application</MarginalNote><Label>4</Label><Text>This Act applies in respect of every First Nation’s financial year that begins after the day on which this Act comes into force.</Text></Section><Heading lims:inforce-start-date="2013-03-27" lims:fid="224765" lims:id="224765" level="1"><TitleText>Financial Statements and Schedule of Remuneration and Expenses</TitleText></Heading><Heading lims:inforce-start-date="2013-03-27" lims:fid="224766" lims:id="224766" level="2"><TitleText>Preparation and Independent Audit</TitleText></Heading><Section lims:inforce-start-date="2013-03-27" lims:lastAmendedDate="2013-03-27" lims:fid="224767" lims:id="224767"><MarginalNote lims:inforce-start-date="2013-03-27" lims:fid="224768" lims:id="224768">Accounts and consolidated financial statements</MarginalNote><Label>5</Label><Subsection lims:inforce-start-date="2013-03-27" lims:fid="224769" lims:id="224769"><Label>(1)</Label><Text>A First Nation must maintain its accounts and prepare its consolidated financial statements annually in accordance with generally accepted accounting principles, the primary sources of which are the handbooks — including the handbook respecting public sector accounting — of the Canadian Institute of Chartered Accountants, or its successor, as they are amended from time to time.</Text></Subsection><Subsection lims:inforce-start-date="2013-03-27" lims:fid="224770" lims:id="224770"><MarginalNote lims:inforce-start-date="2013-03-27" lims:fid="224771" lims:id="224771">Audit</MarginalNote><Label>(2)</Label><Text>A First Nation’s consolidated financial statements must be audited, in accordance with the generally accepted auditing standards of the Canadian Institute of Chartered Accountants, or its successor, by an independent auditor who is a member in good standing of a corporation, institute or association of accountants incorporated under an Act of the legislature of a province.</Text></Subsection></Section><Section lims:inforce-start-date="2013-03-27" lims:lastAmendedDate="2013-03-27" lims:fid="224772" lims:id="224772"><MarginalNote lims:inforce-start-date="2013-03-27" lims:fid="224773" lims:id="224773">Schedule</MarginalNote><Label>6</Label><Subsection lims:inforce-start-date="2013-03-27" lims:fid="224774" lims:id="224774"><Label>(1)</Label><Text>A First Nation must annually prepare a document entitled “Schedule of Remuneration and Expenses” that sets out, separately, the remuneration paid and the expenses reimbursed to its chief and each of its councillors — acting in their capacity as such and in any other capacity, including their personal capacity — by the First Nation and by any entity that, in accordance with generally accepted accounting principles, is required to be consolidated with the First Nation.</Text></Subsection><Subsection lims:inforce-start-date="2013-03-27" lims:fid="224775" lims:id="224775"><MarginalNote lims:inforce-start-date="2013-03-27" lims:fid="224776" lims:id="224776">Distinct document</MarginalNote><Label>(2)</Label><Text>The schedule does not form part of the consolidated financial statements.</Text></Subsection><Subsection lims:inforce-start-date="2013-03-27" lims:fid="224777" lims:id="224777"><MarginalNote lims:inforce-start-date="2013-03-27" lims:fid="224778" lims:id="224778">Report</MarginalNote><Label>(3)</Label><Text>An auditor’s report or a review engagement report, as the case may be, prepared by the auditor referred to in subsection <XRefInternal>5</XRefInternal>(2), must accompany the schedule.</Text></Subsection></Section><Heading lims:inforce-start-date="2013-03-27" lims:fid="224779" lims:id="224779" level="2"><TitleText>Disclosure</TitleText></Heading><Section lims:inforce-start-date="2013-03-27" lims:lastAmendedDate="2013-03-27" lims:fid="224780" lims:id="224780"><MarginalNote lims:inforce-start-date="2013-03-27" lims:fid="224781" lims:id="224781">Copies — members</MarginalNote><Label>7</Label><Subsection lims:inforce-start-date="2013-03-27" lims:fid="224782" lims:id="224782"><Label>(1)</Label><Text>A First Nation must, on the request of any of its members, provide the member with copies of any of the following documents:</Text><Paragraph lims:inforce-start-date="2013-03-27" lims:fid="224783" lims:id="224783"><Label>(a)</Label><Text>its audited consolidated financial statements;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-03-27" lims:fid="224784" lims:id="224784"><Label>(b)</Label><Text>the Schedule of Remuneration and Expenses;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-03-27" lims:fid="224785" lims:id="224785"><Label>(c)</Label><Text>the auditor’s written report respecting the consolidated financial statements; and</Text></Paragraph><Paragraph lims:inforce-start-date="2013-03-27" lims:fid="224786" lims:id="224786"><Label>(d)</Label><Text>the auditor’s report or the review engagement report, as the case may be, respecting the Schedule of Remuneration and Expenses.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2013-03-27" lims:fid="224787" lims:id="224787"><MarginalNote lims:inforce-start-date="2013-03-27" lims:fid="224788" lims:id="224788">Time limit</MarginalNote><Label>(2)</Label><Text>The First Nation must provide the copies without delay, but has until 120 days after the end of the financial year in question to provide them if the request is received within those 120 days.</Text></Subsection><Subsection lims:inforce-start-date="2013-03-27" lims:fid="224789" lims:id="224789"><MarginalNote lims:inforce-start-date="2013-03-27" lims:fid="224790" lims:id="224790">Fee</MarginalNote><Label>(3)</Label><Text>A First Nation may charge a fee for providing the copies, but the fee must not exceed the cost of the service.</Text></Subsection></Section><Section lims:inforce-start-date="2013-03-27" lims:lastAmendedDate="2013-03-27" lims:fid="224791" lims:id="224791"><MarginalNote lims:inforce-start-date="2013-03-27" lims:fid="224792" lims:id="224792">Internet site — First Nation</MarginalNote><Label>8</Label><Subsection lims:inforce-start-date="2013-03-27" lims:fid="224793" lims:id="224793"><Label>(1)</Label><Text>A First Nation must publish the documents referred to in paragraphs <XRefInternal>7</XRefInternal>(1)(a) to (d) on its Internet site, or cause those documents to be published on an Internet site, within 120 days after the end of each financial year.</Text></Subsection><Subsection lims:inforce-start-date="2013-03-27" lims:fid="224794" lims:id="224794"><MarginalNote lims:inforce-start-date="2013-03-27" lims:fid="224795" lims:id="224795">Documents archived</MarginalNote><Label>(2)</Label><Text>The documents referred to in subsection (1) must remain accessible to the public, on an Internet site, for at least 10 years.</Text></Subsection><Subsection lims:inforce-start-date="2013-03-27" lims:fid="224796" lims:id="224796"><MarginalNote lims:inforce-start-date="2013-03-27" lims:fid="224797" lims:id="224797">Discharging duty</MarginalNote><Label>(3)</Label><Text>Publishing any document on an Internet site is insufficient to discharge the First Nation’s duty to make copies of it available First Nation fails to provide copies of any document under section <XRefInternal>7</XRefInternal>, any member of that First Nation may apply to a superior court for an order requiring the council to lims:inforce-start-date="2013-03-27" lims:fid="224808" lims:id="224808" level="2"><TitleText>Administrative Measures</TitleText></Heading><Section lims:inforce-start-date="2013-03-27" lims:lastAmendedDate="2013-03-27" lims:fid="224809" lims:id="224809"><MarginalNote lims:inforce-start-date="2013-03-27" lims:fid="224810" lims:id="224810">Power — Minister</MarginalNote><Label>13</Label><Subsection lims:inforce-start-date="2013-03-27" lims:fid="224811" lims:id="224811"><Label>(1)</Label><Text>If a First Nation is in breach of any duty imposed on it under sections <XRefInternal>5</XRefInternal> to <XRefInternal>8</XRefInternal>, the Minister may take one or more of the following measures:</Text><Paragraph lims:inforce-start-date="2013-03-27" lims:fid="224812" lims:id="224812"><Label>(a)</Label><Text>require the council to develop an appropriate action plan to remedy the breach;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-03-27" lims:fid="224813" lims:id="224813"><Label>(b)</Label><Text>withhold moneys payable as a grant or contribution to the First Nation under an agreement that is in force on the day on which the breach occurs and that is entered into by the First Nation and Her Majesty in right of Canada as represented by the Minister, solely or in combination with other ministers of the Crown, until the First Nation has complied with its duty; or</Text></Paragraph><Paragraph lims:inforce-start-date="2013-03-27" lims:fid="224814" lims:id="224814"><Label>(c)</Label><Text>terminate any agreement referred to in paragraph (b).</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2013-03-27" lims:fid="224815" lims:id="224815"><MarginalNote lims:inforce-start-date="2013-03-27" lims:fid="224816" lims:id="224816">Deeming</MarginalNote><Label>(2)</Label><Text>An amount withheld under paragraph (1)(b) is deemed
