lims:inforce-start-date="2002-12-31" lims:fid="35234" lims:id="35234">Definitions</MarginalNote><Label>2</Label><Text>The definitions in this section apply in this Part.</Text><Definition lims:inforce-start-date="2002-12-31" lims:fid="35235" lims:id="35235"><Text><DefinedTermEn>auditor</DefinedTermEn> means the auditor for the foundation appointed under section 26. (<DefinedTermFr>vérificateur</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35236" lims:id="35236"><Text><DefinedTermEn>board</DefinedTermEn> means the board of directors of the foundation. (<DefinedTermFr>conseil</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35237" lims:id="35237"><Text><DefinedTermEn>Chairperson</DefinedTermEn> means the Chairperson of the board appointed under subsection 9(2). (<DefinedTermFr>président</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35238" lims:id="35238"><Text><DefinedTermEn>director</DefinedTermEn> means a person who is on the board and includes the Chairperson. (<DefinedTermFr>administrateur</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35239" lims:id="35239"><Text><DefinedTermEn>eligible project</DefinedTermEn> means</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35240" lims:id="35240"><Label>(a)</Label><Text>a project carried on, or to be carried on, by an eligible recipient for the modernization, acquisition, development, operation or maintenance of research infrastructure by the recipient in Canada; or</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35241" lims:id="35241"><Label>(b)</Label><Text>the purchasing by an eligible recipient of access to a world-leading research facility located outside Canada or to a major international collaborative research project, including the purchasing of such access by means of a contribution toward a portion of capital costs. (<DefinedTermFr>travaux admissibles</DefinedTermFr>)</Text></Paragraph></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35242" lims:id="35242"><Text><DefinedTermEn>eligible recipient</DefinedTermEn> means</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35243" lims:id="35243"><Label>(a)</Label><Text>a hospital, university or post-secondary college or educational institution that is situated in Canada and that carries on, or in the opinion of a majority of the directors is capable of carrying on, meaningful research; or</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35244" lims:id="35244"><Label>(b)</Label><Text>a non-profit organization or a trust the activities of which are primarily carried on in Canada and that carries on, or in the opinion of a majority of the directors is capable of carrying on, meaningful research. (<DefinedTermFr>bénéficiaire admissible</DefinedTermFr>)</Text></Paragraph></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35245" lims:id="35245"><Text><DefinedTermEn>employee or agent of Her Majesty in right of a province</DefinedTermEn> does not include an employee or agent of Her Majesty in right of a province whose duties and functions as such an employee or agent are restricted to work in a university, a college or other educational institution or a hospital. (<DefinedTermFr>employé ou mandataire de Sa Majesté du chef d’une province</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35246" lims:id="35246"><Text><DefinedTermEn>fiscal year</DefinedTermEn> means the fiscal year of the foundation as determined in accordance with its by-laws. (<DefinedTermFr>exercice</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35247" lims:id="35247"><Text><DefinedTermEn>foundation</DefinedTermEn> means the Canada Foundation for Innovation established by section 3. (<DefinedTermFr>fondation</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35248" lims:id="35248"><Text><DefinedTermEn>member</DefinedTermEn> means a person who is a member of the foundation. (<DefinedTermFr>membre</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35249" lims:id="35249"><Text><DefinedTermEn>Minister</DefinedTermEn> means the Minister of Industry. (<DefinedTermFr>ministre</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35250" lims:id="35250"><Text><DefinedTermEn>non-profit organization</DefinedTermEn> means a corporation, society, association, organization or body no part of whose income is payable to or otherwise available for the personal benefit of any of its proprietors, members or shareholders. (<DefinedTermFr>organisation sans but lucratif</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35251" lims:id="35251"><Text><DefinedTermEn>research</DefinedTermEn> means the attempt by careful scientific or technical enquiry, experimentation, study, observation, analysis and recording to discover new facts, knowledge and information, to develop new interpretations of facts, knowledge or information, or to discover new means of applying existing knowledge, relating to</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35252" lims:id="35252"><Label>(a)</Label><Text>a science;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35253" lims:id="35253"><Label>(b)</Label><Text>health;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35254" lims:id="35254"><Label>(c)</Label><Text>engineering; or</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35255" lims:id="35255"><Label>(d)</Label><Text>the environment. (<DefinedTermFr>recherche</DefinedTermFr>)</Text></Paragraph></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35256" lims:id="35256"><Text><DefinedTermEn>research infrastructure</DefinedTermEn> means equipment, specimens, scientific collections, computer software, information databases, communications linkages and other intangible property used or to be used primarily for carrying on research, including housing and installations essential for the use and servicing of those things. (<DefinedTermFr>infrastructure de recherche</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35257" lims:id="35257"><Text><DefinedTermEn>special resolution</DefinedTermEn> of the members means a resolution passed by a majority of not less than two thirds of the votes cast by the members who voted on the resolution at a meeting of the members or signed by all the members entitled to level="2"><TitleText>Establishment of Foundation</TitleText></Heading><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35261" lims:id="35261"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35262" lims:id="35262">Foundation incorporated</MarginalNote><Label>3</Label><Text>A corporation without share capital is established to be called the Canada Foundation for Innovation consisting of the members of the foundation and the directors.</Text></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:inforce-start-date="2002-12-31" lims:fid="35266" lims:id="35266">Objects and purposes of foundation</MarginalNote><Label>5</Label><Text>The objects and purposes of the foundation are to make grants to eligible recipients for eligible projects to increase Canada’s capability of carrying on high quality research.</Text><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2002-12-31" lims:fid="35268" lims:id="35268">1997, c. 26, s. 5; 2001, c. 11, s. 2</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35269" lims:id="35269"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35270" lims:id="35270">Capacity</MarginalNote><Label>6</Label><Text>For the purposes of carrying out its objects and purposes, the foundation has the capacity and, subject to this Part, the rights, powers and privileges of a natural person.</Text></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35271" lims:id="35271"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35272" lims:id="35272">Head office</MarginalNote><Label>7</Label><Text>The head office of the foundation shall be in the National Capital Region described in the schedule to the <XRefExternal reference-type="act" link="N-4">National Capital Act</XRefExternal>.</Text></Section><Section lims:inforce-start-date="2017-12-31" lims:lastAmendedDate="2017-12-31" lims:fid="35273" lims:id="35273"><MarginalNote lims:inforce-start-date="2017-12-31" lims:fid="35274" lims:id="35274">Canada Not-for-profit Corporations Act</MarginalNote><Label>8</Label><Subsection lims:inforce-start-date="2017-12-31" lims:fid="35275" lims:id="35275"><Label>(1)</Label><Text>The <XRefExternal reference-type="act" link="C-7.75">Canada Not-for-profit Corporations Act</XRefExternal> does not apply to the foundation.</Text></Subsection><Subsection lims:inforce-start-date="2017-12-31" lims:fid="35276" lims:id="35276"><MarginalNote lims:inforce-start-date="2017-12-31" lims:fid="35277" lims:id="35277"><XRefExternal reference-type="act" link="C-44">Canada Business Corporations Act</XRefExternal></MarginalNote><Label>(2)</Label><Text>The following provisions of the <XRefExternal reference-type="act" link="C-44">Canada Business Corporations Act</XRefExternal> apply, with such modifications as the circumstances require, to the foundation and its directors, members, officers and employees as if the foundation were a corporation incorporated under that Act, this Part were its which shall supervise the management of the business and affairs of the foundation and, subject to the by-laws of the foundation, exercise all its powers.</Text></Subsection><Subsection lims:inforce-start-date="2012-03-16" lims:fid="35310" lims:id="35310"><MarginalNote lims:inforce-start-date="2012-03-16" lims:fid="35311" lims:id="35311">Appointment of directors</MarginalNote><Label>(2)</Label><Text>Subject to subsection (3), the board consists of</Text><Paragraph lims:inforce-start-date="2012-03-16" lims:fid="35312" lims:id="35312"><Label>(a)</Label><Text>a Chairperson of the board, who is resident in Canada, appointed by the Governor in Council on the recommendation of the Minister;</Text></Paragraph><Paragraph lims:inforce-start-date="2012-03-16" lims:fid="35313" lims:id="35313"><Label>(b)</Label><Text>five persons, who are resident in Canada, appointed by the Governor in Council on the recommendation of the Minister; and</Text></Paragraph><Paragraph lims:inforce-start-date="2012-03-16" lims:fid="35314" lims:id="35314"><Label>(c)</Label><Text>seven persons, who are resident in Canada and none of whom are employees or agents of Her Majesty in right of Canada or in right of a province or members of the Senate, the House of Commons or the legislature of a province, appointed by the members in lims:inforce-start-date="2012-03-16" lims:fid="35316" lims:id="35316">Initial organization</MarginalNote><Label>(3)</Label><Text>Where the Chairperson is appointed before directors are appointed under paragraph (2)(c), the Chairperson and such other directors, if any, as may have been appointed under paragraph (2)(b) constitute the board until directors are appointed under paragraph (2)(c) and may</Text><Paragraph lims:inforce-start-date="2012-03-16" lims:fid="35317" lims:id="35317"><Label>(a)</Label><Text>undertake the organization of the foundation including the appointment of officers and employees;</Text></Paragraph><Paragraph lims:inforce-start-date="2012-03-16" lims:fid="35318" lims:id="35318"><Label>(b)</Label><Text>make banking arrangements for the foundation;</Text></Paragraph><Paragraph lims:inforce-start-date="2012-03-16" lims:fid="35319" lims:id="35319"><Label>(c)</Label><Text>enact organizational by-laws for the foundation; and</Text></Paragraph><Paragraph lims:inforce-start-date="2012-03-16" lims:fid="35320" lims:id="35320"><Label>(d)</Label><Text>receive on behalf of the foundation any moneys paid to the foundation.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2012-03-16" lims:fid="35321" lims:id="35321"><MarginalNote lims:inforce-start-date="2012-03-16" lims:fid="35322" lims:id="35322">Limitation on initial organization</MarginalNote><Label>(4)</Label><Text>Until directors are appointed under paragraph (2)(c), the board shall not make any grants from or out of the funds of the foundation or enter into any agreements or arrangements, or review any applications, for or in respect of grants to be made from or out of the funds of the foundation.</Text></Subsection><Subsection lims:inforce-start-date="2012-03-16" lims:fid="35323" lims:id="35323"><MarginalNote lims:inforce-start-date="2012-03-16" lims:fid="35324" lims:id="35324">Foundation not owned by Crown</MarginalNote><Label>(5)</Label><Text>The operation of the foundation under subsection (3) by the Chairperson and directors, if any, appointed under paragraph (2)(b) shall not, notwithstanding subsection 83(2) of the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal>, result in the foundation being considered, for the purposes of Part X of that Act or for any other purpose, to be wholly owned directly by Her Majesty in right of Canada.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:id="35355"><Label>(1)</Label><Text>From and out of the funds of the foundation, the directors may be paid remuneration for acting as directors in amounts determined by the board not exceeding maximum amounts prescribed by regulation and they may be reimbursed for any reasonable out-of-pocket expenses incurred by them in performing their duties or attending meetings of the board or of lims:id="35357">Directors not to profit</MarginalNote><Label>(2)</Label><Text>Except as provided in subsection (1), no director shall profit or gain any income or acquire any property from the lims:id="35360">Membership</MarginalNote><Label>13</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35361" lims:id="35361"><Label>(1)</Label><Text>There shall be fifteen members of the foundation.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35362" lims:id="35362"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35363" lims:id="35363">First members</MarginalNote><Label>(2)</Label><Text>Upon this Act receiving royal assent, the Governor in Council, on the recommendation of the Minister, shall without delay appoint six persons as members of the foundation.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35364" lims:id="35364"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35365" lims:id="35365">First meeting</MarginalNote><Label>(3)</Label><Text>As soon as possible after the appointment of the six members under subsection (2), the Minister shall make arrangements for a first meeting of those members.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35366" lims:id="35366"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35367" lims:id="35367">Appointing balance of first members</MarginalNote><Label>(4)</Label><Text>At the first meeting of the six members appointed under subsection (2), or at a meeting held as soon after that meeting as possible, those members shall appoint nine further members of the foundation.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35368" lims:id="35368"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35369" lims:id="35369">Appointment of successor members</MarginalNote><Label>(5)</Label><Text>The appointment of a person as a member to succeed a person whose term as a member expires shall be made by the members at a general meeting of members.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35370" lims:id="35370"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35371" lims:id="35371">Filling vacancies</MarginalNote><Label>(6)</Label><Text>The appointment of a person as a member to fill a vacancy in the membership caused by a person ceasing to be a member before the member’s term as a member expires shall be made by the members at a general meeting of members.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35372" lims:id="35372"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35373" lims:id="35373">Eligibility for members</MarginalNote><Label>(7)</Label><Text>A person is not eligible to be appointed a member if the person</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35374" lims:id="35374"><Label>(a)</Label><Text>is a member of the Senate, the House of Commons or the legislature of a province;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35375" lims:id="35375"><Label>(b)</Label><Text>is an employee or agent of Her Majesty in right of Canada or in right of a province;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35376" lims:id="35376"><Label>(c)</Label><Text>is a director;</Text></Paragraph><Paragraph lims:id="35421">Administrative expenses</MarginalNote><Label>18</Label><Text>From and out of its funds, the foundation may pay salaries and wages of its officers and employees, rent for its accommodation, remuneration for its directors and agents, reimbursement to the directors and members for their reasonable out-of-pocket expenses, and other costs and expenses of carrying on the business of the foundation.</Text></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35422" lims:id="35422"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35423" lims:id="35423">Assistance for eligible projects</MarginalNote><Label>19</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35424" lims:id="35424"><Label>(1)</Label><Text>From and out of its funds, the foundation may make grants to eligible recipients to be used by them solely for the purposes of eligible projects in accordance with any terms and conditions specified by the foundation in respect of the grants.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35425" lims:id="35425"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35426" lims:id="35426">Limits on financial assistance</MarginalNote><Label>(2)</Label><Text>In making grants to an eligible recipient in respect of an eligible project, the foundation shall not acquire any interest, whether through the acquisition of share capital, a partnership interest or otherwise, in any research infrastructure acquired by the recipient for the project.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35427" lims:id="35427"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35428" lims:id="35428">Agreements relating to assistance</MarginalNote><Label>(3)</Label><Text>For the purpose of assisting an eligible recipient in completing an eligible project, the foundation may enter into agreements with the recipient respecting, among other things, the manner in which the foundation will make advances in respect of a grant to the recipient, when those advances will be made and any terms or conditions on which the grant will be made.</Text></Subsection></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35429" lims:id="35429"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35430" lims:id="35430">Donations to foundation</MarginalNote><Label>20</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35431" lims:id="35431"><Label>(1)</Label><Text>Subject to subsection (3), the foundation may accept donations of money.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35432" lims:id="35432"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35433" lims:id="35433">Use of donations</MarginalNote><Label>(2)</Label><Text>All money donated to the foundation, and any income arising from the investment of the money, shall be used by the foundation in carrying out its objects and purposes.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35434" lims:id="35434"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35435" lims:id="35435">Conditional donations</MarginalNote><Label>(3)</Label><Text>The foundation shall not accept a donation of money that is made on the condition that the foundation use the money or any income arising from the investment of the money for any purpose that is not within the objects and purposes of the foundation.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35436" lims:id="35436"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35437" lims:id="35437">Exception</MarginalNote><Label>(4)</Label><Text>Subsection (3) does not apply where the conditions of a donation of money merely restrict or direct the manner of investing the money until it can be used to make grants to eligible recipients for eligible projects.</Text></Subsection></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35438" lims:id="35438"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35439" lims:id="35439">Investment policies</MarginalNote><Label>21</Label><Text>The board shall establish investment policies, standards and procedures that a reasonably prudent person would apply in respect of a portfolio of investments to avoid undue risk of loss and obtain a reasonable return, having regard to the foundation’s obligations and anticipated obligations.</Text></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35440" lims:id="35440"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35441" lims:id="35441">Investments</MarginalNote><Label>22</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35442" lims:id="35442"><Label>(1)</Label><Text>Subject to any conditions of a donation restricting the investment of the money donated until it can be used to make grants to eligible recipients for eligible projects, the foundation shall invest its funds, and reinvest any income from those funds, in accordance with the investment policies, standards and procedures established by the board.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35443" lims:id="35443"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35444" lims:id="35444">Restriction</MarginalNote><Label>(2)</Label><Text>The foundation shall not invest its funds in, or acquire any right in any property of, an eligible recipient that has received, is about to receive or has applied for a grant from the foundation.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35445" lims:id="35445"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35446" lims:id="35446">Incorporation of other corporations</MarginalNote><Label>(3)</Label><Text>The foundation shall not cause any corporation to be incorporated or participate in the incorporation of a corporation or become a partner in a partnership.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35447" lims:id="35447"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35448" lims:id="35448">Control of corporation</MarginalNote><Label>(4)</Label><Text>The foundation shall not carry on any business for gain or profit otherwise than in the investment of its funds, and shall not hold or acquire a controlling interest in any corporation or enterprise.</Text></Subsection></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35449" lims:id="35449"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35450" lims:id="35450">Borrowing prohibited</MarginalNote><Label>23</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35451" lims:id="35451"><Label>(1)</Label><Text>The foundation shall not borrow money, issue any debt obligations or securities, give any guarantees to secure a debt or other obligation of another person or mortgage, pledge or otherwise encumber property of the foundation.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35452" lims:id="35452"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35453" lims:id="35453">Real property</MarginalNote><Label>(2)</Label><Text>The foundation shall not purchase or accept a donation of real property.</Text></Subsection></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35454" lims:id="35454"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35455" lims:id="35455">Delegation by directors</MarginalNote><Label>24</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35456" lims:id="35456"><Label>(1)</Label><Text>Subject to subsection (2), the board may delegate to the Chairperson, a committee of directors or an officer of the foundation any of the powers of the board.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35457" lims:id="35457"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35458" lims:id="35458">Restrictions on delegation</MarginalNote><Label>(2)</Label><Text>The board shall not delegate any power or right of the board</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35459" lims:id="35459"><Label>(a)</Label><Text>to enact, amend or repeal by-laws;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35460" lims:id="35460"><Label>(b)</Label><Text>to authorize the making of grants to eligible recipients;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35461" lims:id="35461"><Label>(c)</Label><Text>to appoint directors to, or fill vacancies on, a committee of the board;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35462" lims:id="35462"><Label>(d)</Label><Text>to appoint officers of the foundation or fix their remuneration;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35463" lims:id="35463"><Label>(e)</Label><Text>to accept donations;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35464" lims:id="35464"><Label>(f)</Label><Text>to approve an annual financial statement or a report of the foundation; or</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35465" lims:id="35465"><Label>(g)</Label><Text>to submit to the members any matter requiring the approval of the members.</Text></Paragraph></Subsection></Section><Heading lims:inforce-start-date="2002-12-31" lims:fid="35466" lims:id="35466" level="2"><TitleText>Financial Matters and Audits</TitleText></Heading><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35467" lims:id="35467"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35468" lims:id="35468">Books of account</MarginalNote><Label>25</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35469" lims:id="35469"><Label>(1)</Label><Text>The board shall cause books of account and other records to be kept and shall establish financial and management controls, information systems and management practices that will ensure that the business and affairs of the foundation are carried on, and the financial, human and physical resources of the foundation are managed, effectively, efficiently and economically.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35470" lims:id="35470"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35471" lims:id="35471">Information systems</MarginalNote><Label>(2)</Label><Text>The books of account and other records of the foundation shall be maintained in such a way that they will show that the assets of the foundation are properly protected and controlled and that its business and affairs are carried on in compliance with this Part and the regulations, and in particular in such a way that they will show</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35472" lims:id="35472"><Label>(a)</Label><Text>descriptions and book values of all investments of the foundation; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35473" lims:id="35473"><Label>(b)</Label><Text>the eligible recipients who have received, or are about to receive, grants from the foundation in respect of eligible projects, the nature and extent of the projects and the amount of the grants.</Text></Paragraph></Subsection></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35474" lims:id="35474"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35475" lims:id="35475">Auditor</MarginalNote><Label>26</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35476" lims:id="35476"><Label>(1)</Label><Text>The members, at their first meeting in each fiscal year, shall appoint an auditor for the foundation for the fiscal year and fix, or authorize the board to fix, the auditor’s remuneration.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35477" lims:id="35477"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35478" lims:id="35478">Qualifications of auditor</MarginalNote><Label>(2)</Label><Text>The auditor shall be</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35479" lims:id="35479"><Label>(a)</Label><Text>a natural person who</Text><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="35480" lims:id="35480"><Label>(i)</Label><Text>is a member in good standing of an institute or association of accountants incorporated by or under an Act of the legislature of a province,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="35481" lims:id="35481"><Label>(ii)</Label><Text>has at least five years experience at a senior level in carrying out audits,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="35482" lims:id="35482"><Label>(iii)</Label><Text>is ordinarily resident in Canada, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="35483" lims:id="35483"><Label>(iv)</Label><Text>is independent of the board, the directors and the officers of the foundation; or</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35484" lims:id="35484"><Label>(b)</Label><Text>a firm of accountants at least one of the members or employees of which who are jointly designated by the board and the firm to conduct on behalf of the firm the audit of the books and records of the foundation meet the qualifications set out in paragraph (a).</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35485" lims:id="35485"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35486" lims:id="35486">Continuation of auditor</MarginalNote><Label>(3)</Label><Text>If an auditor is not appointed at the first meeting of the members in a fiscal year, the auditor for the preceding fiscal year continues in office until a successor is appointed.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35487" lims:id="35487"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35488" lims:id="35488">Removal of auditor</MarginalNote><Label>(4)</Label><Text>The members may by a special resolution of the members remove an auditor from office.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35489" lims:id="35489"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35490" lims:id="35490">Ceasing to hold office</MarginalNote><Label>(5)</Label><Text>An auditor ceases to hold office when the auditor</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35491" lims:id="35491"><Label>(a)</Label><Text>dies;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35492" lims:id="35492"><Label>(b)</Label><Text>resigns; or</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35493" lims:id="35493"><Label>(c)</Label><Text>is removed from office under subsection lims:id="35495">Replacement</MarginalNote><Label>(6)</Label><Text>The members, at a meeting of the members, may appoint an auditor to fill any vacancy in the office of the auditor, but if the members fail to fill the vacancy at a meeting, or if no meeting of the members is convened without delay after the vacancy occurs, the board may appoint an auditor.</Text></Subsection><Subsection lims:id="35502"><Label>(1)</Label><Text>The auditor for a fiscal year shall, as soon as possible after the end of the fiscal year, complete the audit of the books and records of the foundation and submit a report of the audit to the members.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35503" lims:id="35503"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35504" lims:id="35504">Consideration of report</MarginalNote><Label>(2)</Label><Text>A meeting of the members shall be convened to consider the report of the auditor for a fiscal year and at the meeting the members shall by resolution receive the report.</Text></Subsection></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35505" lims:id="35505"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35506" lims:id="35506">Audit committee</MarginalNote><Label>28</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35507" lims:id="35507"><Label>(1)</Label><Text>The board shall appoint an audit committee consisting of not fewer than three directors and fix the duties and functions of the committee.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35508" lims:id="35508"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35509" lims:id="35509">Internal audit</MarginalNote><Label>(2)</Label><Text>In addition to any other duties and functions it is required to perform, the audit committee shall cause internal audits to be conducted to ensure compliance by the officers and employees of the foundation with management and information systems and controls established by the board.</Text></Subsection></Section><Heading lims:inforce-start-date="2002-12-31" lims:fid="35510" lims:id="35510" level="2"><TitleText>Reports and Consideration of Reports</TitleText></Heading><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35511" lims:id="35511"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35512" lims:id="35512">Annual reports</MarginalNote><Label>29</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35513" lims:id="35513"><Label>(1)</Label><Text>The foundation shall, within three months after the end of each fiscal year, prepare an annual report in both official languages of its activities during the year and include in the report</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35514" lims:id="35514"><Label>(a)</Label><Text>its financial statement for the year as approved by the board;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35515" lims:id="35515"><Label>(b)</Label><Text>its balance sheet as at the end of the year including a detailed statement of its investment portfolio as at the end of the year; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35516" lims:id="35516"><Label>(c)</Label><Text>the report of the auditor for the year in respect of the audit of the books and records of the foundation for the year, the auditor’s certificates respecting the financial statement and balance sheet and any other reports of the auditor respecting the financial circumstances of the foundation in the year.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35517" lims:id="35517"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35518" lims:id="35518">Consideration of report by members</MarginalNote><Label>(2)</Label><Text>Before the annual report of the foundation for a fiscal year is distributed to the public, it shall be approved by the board and by the members at a meeting of the members.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35519" lims:id="35519"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35520" lims:id="35520">Distribution of report</MarginalNote><Label>(3)</Label><Text>After the annual report of the foundation for a fiscal year is approved as required under subsection (2), the report shall be made public in accordance with the by-laws of the foundation and a copy shall be sent to the Minister, who shall cause a copy of the report to be laid before each House of Parliament on any of the first fifteen days on which that House is sitting after the Minister receives it.</Text></Subsection></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35521" lims:id="35521"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35522" lims:id="35522">Public meeting</MarginalNote><Label>30</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35523" lims:id="35523"><Label>(1)</Label><Text>After it publishes its annual report for a fiscal year, the foundation shall convene a public meeting at a city in Canada selected by the board to consider the report and other matters relating to its activities during the year.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35524" lims:id="35524"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35525" lims:id="35525">Notice of meeting</MarginalNote><Label>(2)</Label><Text>At least thirty days before the date of a meeting convened under subsection (1) to consider the foundation’s annual report for a fiscal year, the foundation shall give notice of the time and place of the meeting in accordance with the by-laws of the foundation.</Text></Subsection></Section><Heading lims:inforce-start-date="2002-12-31" lims:fid="35526" lims:id="35526" level="2"><TitleText>Winding Up</TitleText></Heading><Section lims:inforce-start-date="2003-06-19" lims:lastAmendedDate="2003-06-19" lims:fid="35527" lims:id="35527"><MarginalNote lims:inforce-start-date="2003-06-19" lims:fid="35528" lims:id="35528">Property to be divided</MarginalNote><Label>31</Label><Subsection lims:inforce-start-date="2003-06-19" lims:fid="35529" lims:id="35529"><Label>(1)</Label><Text>If the foundation is wound up or dissolved, all its property remaining after all its debts and obligations have been satisfied shall be liquidated and the moneys arising from that liquidation shall be distributed among all the eligible recipients that have received grants from the foundation and that are, as of the day the distribution begins, still carrying on research, to be used by them for the purpose of that research, in such a way that each such recipient receives an amount that is the same proportion of those moneys that the total grants received by that recipient from the foundation is of the total of all grants that have been made by the foundation to all such eligible recipients.</Text></Subsection><Subsection lims:inforce-start-date="2003-06-19" lims:fid="35530" lims:id="35530"><MarginalNote lims:inforce-start-date="2003-06-19" lims:fid="35531" lims:id="35531">Repayment out of remaining property</MarginalNote><Label>(2)</Label><Text>Despite subsection (1), the Minister may require the foundation to repay out of the moneys arising from the liquidation to the Receiver General for credit to the Consolidated Revenue Fund any amount that is so repayable under the terms or conditions on which public moneys were provided to the foundation.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2003-06-19" lims:fid="35533" lims:id="35533">1997, c. 26, s. 31; 2003, c. 15, s. lims:id="35539"><Label>(a)</Label><Text>entitle an eligible recipient that has made an application for a grant from the foundation to request the board to make a ruling as to the possible conflict of interest of a director in the consideration or disposal of the application; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35540" lims:id="35540"><Label>(b)</Label><Text>establishing procedures to be followed by the board in responding to the request and giving the ruling.</Text></Paragraph></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35541" lims:id="35541"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35542" acquires tobacco on a reserve for the use or consumption of the Indian or the band, or for the use or consumption by others at the expense of the Indian or the band, or on behalf of, or as the agent for, a principal who desires to acquire the tobacco for use or consumption by the Indian or the band or other persons at the expense of that Indian or that band. (<DefinedTermFr>consommateur</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35548" lims:id="35548"><Text><DefinedTermEn>council</DefinedTermEn>, in relation to the Cowichan Tribes, has the same meaning as the expression <DefinitionRef>council of the band</DefinitionRef> in subsection 2(1) of the <XRefExternal reference-type="act" link="I-5">Indian Act</XRefExternal>. (<DefinedTermFr>conseil</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35549" lims:id="35549"><Text><DefinedTermEn>Cowichan Tribes</DefinedTermEn> means the Cowichan Band of Indians referred to in Order in Council P.C. 1973-3571. (<DefinedTermFr>tribus Cowichan</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35550" lims:id="35550"><Text><DefinedTermEn>direct</DefinedTermEn> has the same meaning, for the purpose of distinguishing between a direct and an indirect tax, as in class 2 of section 92 of the <XRefExternal reference-type="act" link="const">Constitution Act, 1867</XRefExternal>. (<DefinedTermFr>directe</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35551" lims:id="35551"><Text><DefinedTermEn>direct lims:id="35552"><Text><DefinedTermEn>Minister</DefinedTermEn> means the Minister of Finance. (<DefinedTermFr>ministre</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35553" lims:id="35553"><Text><DefinedTermEn>reserve</DefinedTermEn> means the reserves, within the meaning of subsection 2(1) of the <XRefExternal reference-type="act" link="I-5">Indian Act</XRefExternal>, set apart by Her Majesty for the use and benefit of the Cowichan Tribes. (<DefinedTermFr>réserve</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="35554" lims:id="35554"><Text><DefinedTermEn>tobacco</DefinedTermEn> means tobacco and tobacco products in any form in which they may be consumed by a consumer, and includes snuff and raw leaf tobacco. (<DefinedTermFr>tabac</DefinedTermFr>)</Text></Definition><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2002-12-31" lims:fid="35556" lims:id="35556">1997, c. 26, s. 35; 1998, c. 21, s. 63</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35557" lims:id="35557"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35558" lims:id="35558">Tax</MarginalNote><Label>36</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35559" lims:id="35559"><Label>(1)</Label><Text>Notwithstanding section 87 of the <XRefExternal reference-type="act" link="I-5">Indian Act</XRefExternal> or any other Act of Parliament or any Act of the legislature of a province, the council may make a by-law imposing a direct tax on consumers of tobacco, at a rate prescribed in the by-law.</Text></Subsection><Subsection nothing in that subsection affects the application of section 87 of the <XRefExternal reference-type="act" link="I-5">Indian Act</XRefExternal>.</Text></Subsection><Subsection moneys</MarginalNote><Label>(3)</Label><Text>Moneys raised pursuant to a tax referred to in subsection (1) are not Indian moneys within the meaning of subsection 2(1) of the <XRefExternal reference-type="act" link="I-5">Indian Act</XRefExternal>.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35564" lims:id="35564"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35565" lims:id="35565">Expenditures</MarginalNote><Label>(4)</Label><Text>Expenditures made out of moneys raised pursuant to a tax referred to in subsection (1) must be made under the authority of a resolution approved by a majority of the councillors of the Cowichan Tribes present at a meeting of the council duly convened.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35566" lims:id="35566"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35567" lims:id="35567">By-law</MarginalNote><Label>(5)</Label><Text>A by-law made under subsection (1)</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35568" lims:id="35568"><Label>(a)</Label><Text>shall be valid only if approved by a majority of the councillors of the Cowichan Tribes present at a meeting of the council duly convened;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35569" lims:id="35569"><Label>(b)</Label><Text>shall not come into force before it is approved by the Minister;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35570" lims:id="35570"><Label>(c)</Label><Text>shall, except where an agreement has been entered into pursuant to subsection 39(1),</Text><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="35571" lims:id="35571"><Label>(i)</Label><Text>provide the method of calculating the tax,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="35572" lims:id="35572"><Label>(ii)</Label><Text>set out the rate at which the tax is imposed,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="35573" lims:id="35573"><Label>(iii)</Label><Text>provide for the time and manner in which the tax that is required to be collected by the vendor of the tobacco is to be remitted to the council, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="35574" lims:id="35574"><Label>(iv)</Label><Text>provide for the form of, and the information to be contained in, the books and records to be kept pursuant to subsection 38(1);</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35575" lims:id="35575"><Label>(d)</Label><Text>shall, where an agreement has been entered into pursuant to subsection 39(1), provide that the rate of tax is the rate provided for in the <XRefExternal reference-type="act">Tobacco Tax Act</XRefExternal>, R.S.B.C. 1979, c. 404, as amended from time to time;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35576" lims:id="35576"><Label>(e)</Label><Text>may apply to one or more kinds of tobacco and may provide for different rates for different kinds of tobacco;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35577" lims:id="35577"><Label>(f)</Label><Text>may be made with respect to any matter arising out of or ancillary to the exercise of powers under this section; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35578" lims:id="35578"><Label>(g)</Label><Text>is not subject to the <XRefExternal reference-type="act" link="S-22">Statutory Instruments Act</XRefExternal>.</Text></Paragraph></Subsection></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35579" lims:id="35579"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35580" lims:id="35580">Supreme Court of British Columbia</MarginalNote><Label>37</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35581" lims:id="35581"><Label>(1)</Label><Text>Except where an agreement has been entered into pursuant to subsection 39(1), where a person who is required to remit an amount of tax collected pursuant to a by-law made under section 36 fails to remit that amount or where a person fails to pay an amount pursuant to subsection (2), the Cowichan Tribes may take proceedings before the Supreme Court of British Columbia against that person to recover the amount.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35582" lims:id="35582"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35583" lims:id="35583">Failure to collect</MarginalNote><Label>(2)</Label><Text>Except where an agreement has been entered into pursuant to subsection 39(1), where a person who is required to collect an amount of tax pursuant to this Part fails to collect the amount, that person shall pay to the council, at the same time and in the same manner as the person would have been required to remit if the failure had not occurred, an amount equal to the amount of tax the person failed to collect.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35584" lims:id="35584"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35585" lims:id="35585">Proof of by-law</MarginalNote><Label>(3)</Label><Text>A copy of a by-law made under this Part is, if it is certified to be a true copy by the Minister or a person authorized by the Minister, evidence that the by-law was duly made by the council and approved by the Minister, without proof of the signature or the authorization of the person, and no such by-law is invalid by reason of any defect in form.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35586" lims:id="35586"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35587" lims:id="35587">Publication of by-law</MarginalNote><Label>(4)</Label><Text>The council shall, on demand, provide a copy of any by-law made under this Part and shall publish every such by-law in a newspaper having general circulation in the place where the tax applies as well as in the <XRefExternal reference-type="other">First Nations Gazette</XRefExternal>, but no by-law shall be invalid by reason of a failure to make such publication.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2002-12-31" records</MarginalNote><Label>38</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35592" lims:id="35592"><Label>(1)</Label><Text>Every person who is required pursuant to this Part to collect an amount of tax shall keep books and records of account in such form and containing such information as will enable the taxes payable under this Part to be determined.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35593" lims:id="35593"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35594" lims:id="35594">Inspection of books</MarginalNote><Label>(2)</Label><Text>A person authorized by the council (in this section referred to as the authorized person) may, at all reasonable times, for any purpose related to the administration or enforcement of this Part,</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35595" lims:id="35595"><Label>(a)</Label><Text>inspect, audit or examine the books and records required to be kept under this Part; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35596" lims:id="35596"><Label>(b)</Label><Text>examine any property situated on a reserve that is in an inventory of a person required to keep books and records pursuant to this Part and any property on the reserve an examination of which may assist in determining the accuracy of the inventory of the person or in ascertaining the information that is or should be in the books or records of the person or any amount that the person was required to collect under this Part.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35597" lims:id="35597"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35598" lims:id="35598">Authorized person</MarginalNote><Label>(3)</Label><Text>For the purposes of paragraphs (2)(a) and (b), the authorized person may</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35599" lims:id="35599"><Label>(a)</Label><Text>enter any premises or place on the reserve, except a dwelling-house, where any books or records are or should be kept; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35600" lims:id="35600"><Label>(b)</Label><Text>require the person referred to in paragraph (2)(b) to provide all reasonable assistance and to answer all proper questions relating to the administration and enforcement of this Part.</Text></Paragraph></Subsection></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="35601" lims:id="35601"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35602" lims:id="35602">Agreement with province</MarginalNote><Label>39</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35603" lims:id="35603"><Label>(1)</Label><Text>The Cowichan Tribes may enter into an agreement with British Columbia respecting the collection of tax imposed by a by-law made under section 36.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35604" lims:id="35604"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35605" lims:id="35605">Collection where agreement</MarginalNote><Label>(2)</Label><Text>Where a tax has been imposed by a by-law made under section 36 and an agreement entered into with the Government of British Columbia for collection of the tax, British Columbia may collect the tax in accordance with the agreement and may take proceedings to collect the tax as if it were imposed under the <XRefExternal reference-type="act">Tobacco Tax Act</XRefExternal>, R.S.B.C. 1979, c. 404, as amended from time to time.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35606" lims:id="35606"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35607" lims:id="35607">Rights of Appeal</MarginalNote><Label>(3)</Label><Text>Where an agreement has been entered into, any person who is required to pay, collect or remit the tax collected by British Columbia, or who is liable to pay any amount or penalty with respect to such tax, may take any proceedings with respect to the payment, collection or remittance or with respect to the amount of penalty as if the tax were imposed under the <XRefExternal reference-type="act">Tobacco Tax Act</XRefExternal>, R.S.B.C. 1979, c. 404, as amended from time to time.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35608" lims:id="35608"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35609" lims:id="35609">Exception</MarginalNote><Label>(4)</Label><Text>For greater certainty, subsection (3) does not apply to proceedings challenging the validity of a tax imposed by a by-law made under section 36.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35610" lims:id="35610"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35611" lims:id="35611">Payment of security by wholesaler</MarginalNote><Label>(5)</Label><Text>For greater certainty, where an agreement has been entered into, British Columbia may collect security from dealers, within the meaning of section 1 of the <XRefExternal reference-type="act">Tobacco Tax Act</XRefExternal>, R.S.B.C. 1979, c. 404, as amended from time to time, who are situated outside a reserve with respect to the tax imposed by a by-law made under this Part.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35612" lims:id="35612"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35613" lims:id="35613">Application of provincial legislation</MarginalNote><Label>(6)</Label><Text>For the purposes of subsections (2) and (3), the provisions of the <XRefExternal reference-type="act">Tobacco Tax Act</XRefExternal>, R.S.B.C. 1979, c. 404, as amended from time to time, apply for the purposes of this Part with such modifications as the circumstances require.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="35614" lims:id="35614"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="35615" lims:id="35615">Reference in <XRefExternal reference-type="act">Tobacco Tax Act</XRefExternal></MarginalNote><Label>(7)</Label><Text>For greater certainty, a reference in the <XRefExternal reference-type="act">Tobacco Tax Act</XRefExternal>, R.S.B.C. 1979, c. 404, as amended from time to time,</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35616" lims:id="35616"><Label>(a)</Label><Text>to the tax in that Act shall be read as a reference to the tax imposed by the by-law;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35617" lims:id="35617"><Label>(b)</Label><Text>to British Columbia or the provincial government shall be read as a reference to the council or the Cowichan Tribes, as the circumstances require;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35618" lims:id="35618"><Label>(c)</Label><Text>to a consumer in that Act shall be read as a reference to a consumer as defined in this Part; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="35619" lims:id="35619"><Label>(d)</Label><Text>to that Act shall be read as a reference to this Part.</Text></Paragraph></Subsection><Subsection
